WORLD BASEBALL CLASSIC TICKET TERMS & CONDITIONS

IMPORTANT: THIS TICKET IS A REVOCABLE LICENSE;

HOLDER VOLUNTARILY ASSUMES RISK OF ILLNESS/INJURY; NO RE-ENTRY UPON EXIT; THIS TICKET LIMITS HOLDER’S LEGAL RIGHTS

By using this ticket, ticket holder, on their own behalf and on behalf of any accompanying minor (together, “Holder”), agrees to the following terms and conditions (the “Agreement”), including an AGREEMENT TO ARBITRATE And A class action waiver. World Baseball Classic, Inc. (“WBCI”) may change the terms of the Agreement at any time, without notice (“Agreement Updates”), and Holder’s use of this ticket after Agreement Updates are posted at https://www.mlb.com/world-baseball-classic/tickets/terms will mean that Holder accepts such Agreement Updates. Holder is solely responsible for reading and understanding the Agreement before using this ticket. For the sake of clarity, with regard to each term of this Agreement in which Holder agrees to take or refrain from an action or grants rights, such term shall and does bind the ticket holder and any accompanying minor to, and ticket holder shall cause such accompanying minor to, take or refrain from such action and to grant such rights, such that the ticket holder is agreeing, on behalf of ticket holder and any accompanying minor, that ticket holder and such minor will take or refrain from such action or grant such rights (as applicable).

AN INHERENT RISK OF EXPOSURE TO COVID-19 AND OTHER COMMUNICABLE DISEASE EXISTS IN ANY PUBLIC PLACE REGARDLESS OF PRECAUTIONS THAT MAY BE TAKEN. HOLDER, ON THEIR BEHALF AND ON BEHALF OF ANY ACCOMPANYING PARTIES (AS DEFINED BELOW), AGREES TO (A) ASSUME ALL RISKS ASSOCIATED WITH COVID-19 AND OTHER COMMUNICABLE DISEASES, AND (B) COMPLY WITH ALL RELATED HEALTH & SAFETY POLICIES OF WBCI.

Holder agrees that: (a) Holder will not transmit or aid in transmitting any photographs, images, videos, audio, livestreams or other accounts or descriptions (including play-by-play data) (whether text, data or visual), in any media, of all or any part of the game to which this ticket grants admission or any entertainment, attractions, warm-ups, practices, pre-game, post-game or between-inning activities, promotions or competitions offered in connection with the game (the “Game”) or any other event (collectively with the Game, the “Event”) including, but not limited to, any account, description, picture, video, audio, reproduction or other information concerning the Game or other Event (collectively, the “Game Information”); (b) WBCI is the exclusive owner of all copyrights and other proprietary rights in the Game and the Game Information; and (c) WBCI, the Office of the Commissioner of Baseball, MLB Advanced Media, L.P., The MLB Network, LLC, the Clubs of Major League Baseball, Major League Baseball Properties, Inc., the national baseball federations participating in the World Baseball Classic, the players and other individuals participating in the World Baseball Classic, Major League Baseball Players Association, MLB Players, Inc. and each of their respective past, present and future subsidiaries, affiliates, agents, officers, employees, members, directors and owners (collectively, the “WBCI Entities”), and certain current and future sponsors and licensees of such WBCI Entities, will have the unrestricted right and license to use Holder’s image, likeness, name, voice, comments and/or other proprietary or public rights in any live or recorded broadcast, telecast, photograph, video, audio, audiovisual and/or other recording taken in connection with the Event or other transmission, distribution, public performance, or reproduction in whole or in part of the Event, for all purposes, worldwide, in perpetuity, and in any and all media now or hereafter known, without compensation. The rights granted herein to the WBCI Entities are assignable.

Holder, on their own behalf and on behalf of any Accompanying Parties (as defined at the conclusion of this paragraph), (a) consents to security searches, screenings and/or inspection of Holder’s and/or any Accompanying Parties’ person, bags, clothing, or other articles for security purposes, whether by walk-through metal detection, handheld metal detection, bag checks or otherwise; and (b) acknowledges and agrees to comply with (i) all relevant policies and protocols issued by any WBCI Entity, including, without limitation, any policies and protocols regarding security, bags, fan conduct and/or health and safety (each, a “Policy” and collectively, the “Policies”), all of which may continue to be updated from time to time between purchase of this ticket and the Event date, and (ii) all applicable laws, orders and policies of national and local authorities (subsections (i) and (ii) are, collectively, “Health and Safety Rules”). Holder acknowledges that the WBCI Entities have no liability for Holder’s and/or any Accompanying Parties’ person or property. An “Accompanying Party” is any accompanying party (other than accompanying minors) for whom Holder retains a ticket to attend the Event with Holder (each of whom Holder represents have authorized Holder to act on their behalf in accepting the applicable Agreement terms) (collectively, the “Accompanying Parties”).

The WBCI Entities reserve the right to terminate the license granted by this ticket, for any reason, by tendering to Holder the purchase price printed on this ticket. Further, the WBCI Entities reserve the right, without refund of any portion of such purchase price, to revoke any or all license(s) granted by this ticket and refuse admission to, or eject from, the Event, Holder and any Accompanying Parties if any such person: (a) violates the terms of the Agreement, including without limitation any Policy; (b) is in possession of any item or object that the WBCI Entities consider potentially dangerous, hazardous, inappropriate and/or injurious to other patrons (collectively, “Prohibited Items), and any such Prohibited Items may be confiscated; (c) appears to be or is intoxicated; (d) engages in conduct deemed by any of the WBCI Entities to be improper, disorderly or unbecoming; (e) uses vulgar or abusive language; or (f) poses a risk to the health or safety of others.

Holder assumes all risk associated with the purchase of this ticket from anyone other than WBCI or its designated agents. This ticket may not be used for advertising, promotion (including contests and sweepstakes), or other trade or commercial purposes without the express written consent of WBCI. No offer to resell or resale of this ticket is permitted to the extent prohibited by any applicable law or regulation or in violation of any Policy. Any such resale will invalidate the license granted by this ticket. This ticket may not be resold or offered for resale inside the host venue, including the ballpark, surrounding grounds and parking areas (collectively, the “Host Venue”), and any person who sells or offers this ticket for resale at any price inside the Host Venue will be removed from the premises and may be prosecuted.

Holder, on their behalf and on behalf of any Accompanying Parties, agrees to comply with all terms and conditions presented at the time of purchase of this ticket not specifically enumerated herein, including without limitation (a) terms that mandate or prescribe the quantity of tickets available to be purchased, (b) additional requirements regarding Accompanying Parties, and (c) terms regarding the resale or transfer of tickets.

FAN HEALTH PROMISE

Holder acknowledges and understands that, if infected with COVID-19 or other Communicable Disease (as defined at the conclusion of this paragraph), Holder and/or any Accompanying Parties may infect others that they may subsequently come in contact with, even if they are not experiencing or displaying any symptoms of illness, and that the risk of exposure to others remains at all times. Accordingly, Holder agrees that neither Holder nor any Accompanying Party will attend the Event if, on the date of the Event, they are required or recommended by Health and Safety Rules to stay at home, quarantine and/or isolate (e.g., as a result of testing positive for, experiencing symptoms of, or being in direct contact with someone who tested positive for, COVID-19 or other Communicable Disease). A “Communicable Disease” as used herein is COVID-19, any strains, variants, or mutations thereof, the coronavirus that causes COVID-19, and/or any other airborne, aerosolized or surface transmissible communicable and/or infectious diseases, viruses, bacteria or illnesses or the causes thereof.

ASSUMPTION OF RISK RELATED TO COVID-19 AND OTHER COMMUNICABLE DISEASES

Holder, on their behalf and on behalf of any Accompanying Parties, acknowledges, and expressly and voluntarily assumes all risks that are in any way related to or arising from being exposed to or contracting COVID-19 or other Communicable Disease in the Host Venue. By using this ticket, Holder is acknowledging and confirming, on behalf of Holder and any Related Parties (as defined at the conclusion of this paragraph) both now and in the future, that Holder understands and expressly assumes the risk that Holder and/or any Accompanying Parties may be exposed to COVID-19 or other Communicable Disease. Holder expressly understands that these risks include contracting COVID-19 or other Communicable Disease and the associated dangers, medical complications and physical and mental injuries, both foreseen and unforeseen, that may result from contracting COVID-19 or other Communicable Disease. Holder further acknowledges and understands, on their own behalf and on behalf of any Accompanying Parties: that any interaction with the general public poses an inherent risk of being exposed to and contracting Communicable Disease, including, but not limited to, COVID-19; that it cannot be guaranteed that Holder and/or any Accompanying Parties will not be exposed; and that as such, potential exposure to or contraction of COVID-19 or other Communicable Disease are risks inherent in Holder’s decision to use this ticket and cannot be eliminated. “Related Parties” are any Accompanying Parties as well as Holder’s and any Accompanying Parties’ personal representatives, assigns, heirs, next of kin and any other person or entity that may be entitled to make a claim on their behalf.

ASSUMPTION OF RISK OF PERSONAL INJURY, ILLNESS AND/OR PROPERTY DAMAGE

Holder recognizes that attendance of Holder and any Accompanying Parties at the Event is voluntary and may result in personal injury (including death), illness and/or property damage. Holder agrees to abide by all Policies and to stay alert and remain aware of Holder’s surroundings and the surroundings of any Accompanying Parties. By using this ticket or by attending, observing or participating in the Event, Holder, on their own behalf and on behalf of any Related Parties, acknowledges and assumes all risks and dangers associated with: (a) being a spectator before, during, and after a baseball game (including all warm-ups, practices, pre-game, post-game and between-inning activities, promotions and competitions), and (b) attending, observing or participating in the Event, in each case, whether any such risk or danger occurs prior to, during or subsequent thereto, including specifically (but not exclusively) the danger of being injured by thrown bats; bat fragments; thrown or batted balls; thrown, dropped, or launched items; projectiles; persons; animals; other hazards or distractions; and any incidents or accidents associated with crowds of people or the negligence or misconduct of other spectators. Holder, on their behalf and on behalf of any Related Parties, agrees that the Released Parties (as defined at the conclusion of this paragraph) will not be responsible for any personal injury (including death), illness, property damage, or other loss suffered as a result of (x) Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event and/or (y) the sole, joint, or comparative negligence, or strict liability, of any of the Released Parties (collectively, the “Spectator Claims”). “Released Parties” are: (i) the WBCI Entities, (ii) each of the WBCI Entities’ respective past, present and future licensees, sponsors, and vendors, and all of their successors and assigns, (iii) all other World Baseball Classic related entities, (iv) the Host Venue and the owners and/or operators thereof, (v) any governmental body associated with the Host Venue, (vi) the ticket vendor and/or provider, and (vii) all past, present and future affiliates, successors, assigns, players, managers, coaches, employees, partners, members, directors, officers, owners, agents, representatives and independent contractors of such entities.

GENERAL RELEASE OF LIABILITY AND COVENANT NOT TO SUE

ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, HOLDER, WAIVES, RELEASES, DISCHARGES, HOLDS HARMLESS, AND COVENANTS NOT TO SUE THE RELEASED PARTIES WITH RESPECT TO ANY CLAIM, LIABILITY OR DEMAND OF WHATEVER KIND OR NATURE, EITHER IN LAW OR IN EQUITY, THAT MAY ARISE IN CONNECTION WITH, OR RELATE IN ANY WAY TO, (A) USE OF THIS TICKET, (B) PRESENCE AT THE HOST VENUE OR (C) PARTICIPATION IN THE EVENT OR ANY RELATED ACTIVITIES ARRANGED, PROMOTED AND/OR SPONSORED BY THE RELEASED PARTIES, INCLUDING, WITHOUT LIMITATION, THOSE CLAIMS THAT ARISE AS A RESULT OF: (I) IN WHOLE OR IN PART, THE SOLE, JOINT, OR COMPARATIVE NEGLIGENCE, OR STRICT LIABILITY, OF THE RELEASED PARTIES, AND/OR (II) THE INHERENT RISKS ASSOCIATED WITH VISITING THE HOST VENUE, INCLUDING, WITHOUT LIMITATION (a) ALL SPECTATOR CLAIMS; (b) ALL CLAIMS FOR PERSONAL INJURIES, WRONGFUL DEATH OR EXPOSURE TO OR CONTRACTION OF COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER, ANY ACCOMPANYING PARTIES, OR OTHER INDIVIDUALS EXPOSED TO COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER OR ANY ACCOMPANYING PARTIES; (c) ALL CLAIMS IN CONNECTION WITH ANY SECURITY SEARCHES OR SCREENINGS OF, OR THE APPLICATION OF ANY HEALTH AND SAFETY RULES TO, HOLDER AND/OR ANY ACCOMPANYING PARTIES; AND/OR (d) ALL CLAIMS FOR INVASION OF PRIVACY, DEFAMATION, VIOLATION OF ANY RIGHT OF PUBLICITY, RIGHT OF PRIVACY OR ANY OTHER CAUSE OF ACTION ARISING OUT OF THE PRODUCTION, REPRODUCTION, DISTRIBUTION, TRANSMISSION, PUBLICATION, PUBLIC PERFORMANCE, BROADCAST OR EXHIBITION OF ADVERTISEMENTS, PROMOTIONS, CONTENT, PROGRAMS AND/OR MATERIALS IN WHICH RECORDINGS OR PHOTOGRAPHS OF HOLDER OR ANY ACCOMPANYING PARTIES FROM THE EVENT APPEAR (COLLECTIVELY, THE “RELEASED CLAIMS”).

The acknowledgements and express assumptions of risk, waivers of claims, and releases of liability contained herein are intended to be binding and full waivers of claims and releases of liability, and interpreted to be as broad and inclusive as is permitted by law, including with respect to any controversy, claim or dispute that may arise related to exposure or contraction of COVID-19 or other Communicable Disease. If any part hereof is held to be invalid or legally unenforceable for any reason (the “Affected Provision”), the remainder of the Agreement shall not be affected thereby and shall remain valid and fully enforceable and the Affected Provision shall be enforced to the maximum extent permitted by law.

BY ATTENDING AND/OR PARTICIPATING IN THE EVENT, HOLDER, ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, IS DEEMED TO HAVE GIVEN A FULL RELEASE OF LIABILITY TO THE RELEASED PARTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE GIVEN ALL OF THE FOREGOING GRANTS OF RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) SUCH OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO GRANT SUCH RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (I) SUCH MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

Holder will indemnify, defend and hold harmless the Released Parties from and against any and all demands, suits, claims, costs (including reasonable attorneys’ fees and expenses), expenses and liability arising out of, incidental to or related in any way to (i) Released Claims, (ii) Holder’s and/or any Accompanying Parties’ acts or omissions, or (iii) Holder’s breach of any of the terms, conditions or representations made in the Agreement.

HOLDER AGREES THAT THE INDEMNITY OBLIGATIONS AND LIABILITIES ASSUMED HEREIN ARE WITHOUT LIMIT AND WITHOUT REGARD TO THE CAUSE OR CAUSES THEREOF, INCLUDING THE SOLE, JOINT, OR CONCURRENT NEGLIGENCE OF ANY RELEASED PARTY, WHETHER ACTIVE OR PASSIVE, STRICT LIABILITY, LATENT, PATENT, OR PRE-EXISTING DEFECTS OR CONDITIONS, AND INCLUDING ANY CLAIMS ARISING OUT OF INGRESS, EGRESS, LOADING AND UNLOADING OF PERSONNEL OR CARGO.

ENTERING THE PLAYING FIELD FOR A GAME, OTHERWISE DISRUPTING AN EVENT AND/OR ATTEMPTING ANY PHYSICAL CONTACT WITH AN EVENT PARTICIPANT IS A CRIME PUNISHABLE BY FINE AND/OR IMPRISONMENT. VIOLATORS MAY BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW.

MANDATORY ARBITRATION AGREEMENT & CLASS ACTION WAIVER (“ARBITRATION AGREEMENT”)

The WBCI Entities care deeply about maintaining good relationships with fans. If you or any of your Accompanying Parties have a problem with this ticket or the Event, a telephone call to customer service may resolve the matter quickly and amicably. Any dispute not resolved informally must be resolved in accordance with this Arbitration Agreement.

Unless prohibited by applicable law, Holder and the WBCI Entities agree to arbitrate any and all claims and disputes relating in any way to Holder’s purchase or Holder’s or any Accompanying Parties’ use of this ticket, Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event, the Agreement, and any related dealings between them, including, without limitation, claims of illness (including COVID 19 or other Communicable Disease), bodily injury or property damage arising out of Holder’s and/or any Accompanying Parties’ attendance at and/or participation in the Event (“Arbitration Claims”), except for Arbitration Claims concerning the validity, scope or enforceability of this Arbitration Agreement, through BINDING INDIVIDUAL ARBITRATION.

In any Arbitration Claim to be resolved by arbitration, neither Holder nor the WBCI Entities will be able to have a court or jury trial or participate in a class action or class arbitration. Other rights that Holder and the WBCI Entities would have in court will not be available or will be more limited in arbitration, including the right to appeal. Holder and the WBCI Entities each understand and agree that by requiring each other to resolve all disputes through individual arbitration, WE ARE EACH WAIVING THE RIGHT TO A COURT OR JURY TRIAL. ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, CLASS ARBITRATION OR ANY SIMILAR PROCEEDING. The arbitrator(s) may not consolidate the claims of multiple parties.

Arbitrations shall be administered by a well-recognized arbitration body selected by WBCI. The arbitration shall take place in the city where the Host Venue is located. The arbitration shall be presided over by a single arbitrator, who shall be selected in accordance with the rules that, as specified above, shall govern the arbitration. The arbitrator shall be authorized to award any relief that would have been available in court, provided that the arbitrator’s authority is limited to Holder and the WBCI Entities alone, except as otherwise specifically stated herein. No arbitration decision will have any preclusive effect as to non-parties. The arbitrator’s decision shall be final and binding. The parties agree that this Arbitration Agreement extends to any other parties involved in any Arbitration Claims, including, but not limited to, any Accompanying Parties, Related Parties and/or Released Parties. This Arbitration Agreement shall take precedence over the rules of the arbitration organization or arbitrator in the event of any conflict.

Notwithstanding any other provision herein, Holder and the WBCI Entities each may exercise any lawful rights to seek provisional remedies, without waiving the right to arbitrate by doing so. Notwithstanding any other provision of the Agreement, if the foregoing class action waiver and prohibition against class arbitration is determined to be invalid or unenforceable, then this entire Arbitration Agreement shall be void. If any portion of this Arbitration Agreement other than the class action waiver and prohibition against class arbitration is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this Arbitration Agreement. This Arbitration Agreement will survive the termination of the Agreement, the conclusion of the Event, and/or the bankruptcy or insolvency of a party (to the extent permitted by applicable law).

YOU HAVE THE RIGHT TO REJECT THIS ARBITRATION AGREEMENT, BUT YOU MUST EXERCISE THIS RIGHT PROMPTLY. If you do not wish to be bound by this agreement to arbitrate, you must notify us by mailing a written opt-out notice, postmarked within thirty (30) days after the date of the Event. You must send your request to: World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Arbitration, 1271 Avenue of the Americas, New York, NY 10020. The request must include your full name, address and the statement “I reject the Arbitration Agreement contained in my Event Ticket.” If you exercise the right to reject arbitration, the other terms of the Agreement shall remain in full force and effect as if you had not rejected arbitration.

Prior to bringing a claim under this Arbitration Agreement, the claimant shall give the other party or parties written notice of the Arbitration Claim (a “Claim Notice”) and a reasonable opportunity, not less than thirty (30) days, to resolve the Arbitration Claim. Any Claim Notice to one or more of the WBCI Entities shall be sent by mail to World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Claim Notice, 1271 Avenue of the Americas, New York, NY 10020. Any Claim Notice must (a) identify the claimant by name, address, email address, and telephone number; (b) explain the nature of the Arbitration Claim and the relief demanded; and (c) be submitted only on behalf of the claimant, and not on behalf of any other party. The claimant must reasonably cooperate in providing any information about the Arbitration Claim that the other party reasonably requests and must give the other party a reasonable opportunity to respond to the demand for relief.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE AGREED TO THIS ARBITRATION AGREEMENT ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO MAKE SUCH AGREEMENT ON BEHALF OF: (I) ANY ACCOMPANYING MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

NOTICE

ALL EVENT TIMES ARE SUBJECT TO CHANGE. THE WBCI ENTITIES ARE NOT RESPONSIBLE FOR LOST, STOLEN OR DUPLICATED TICKETS.

Retain possession of this ticket until the Event has been completed. This ticket cannot be replaced if lost, stolen or destroyed. This ticket is good only for this particular Event and no part of the purchase price will be refunded by reason of the failure of the ticket holder to use it for this Event. Should this Event not be played or completed, and WBCI opts, in its sole discretion, to reschedule or resume the Event (or a portion thereof) at the Host Venue (the “Rescheduled Event”), this ticket will admit the ticket holder to the Rescheduled Event, on the date and time that the Rescheduled Event is scheduled to occur, as announced in the sole discretion of WBCI and posted at https://www.mlb.com/world-baseball-classic. No part of the purchase price will be refunded by reason of the failure of Holder to use this ticket for the Rescheduled Event.

Should the Event (or any portion thereof) (a) be canceled and not rescheduled at the Host Venue, (b) not progress to or beyond a point of play constituting a regulation game under Official Baseball Rule 7.01 (a “Regulation Game”) and not be resumed at the Host Venue, or (c) be played without fans, or with limited fans, in attendance, the WBCI Entities will determine in their sole discretion whether any refunds will be issued and post such decision at https://www.mlb.com/world-baseball-classic.

Should the Event progress to or beyond a point of play constituting a Regulation Game, no refunds will be issued.

HOLDER VOLUNTARILY ASSUMES RISK OF ILLNESS/INJURY; NO RE-ENTRY UPON EXIT; THIS TICKET LIMITS HOLDER’S LEGAL RIGHTS

NOTICE TO THE MINOR CHILD’S NATURAL GUARDIAN

READ THIS AGREEMENT COMPLETELY AND CAREFULLY. YOU ARE AGREEING TO LET YOUR MINOR CHILD ENGAGE IN A POTENTIALLY DANGEROUS ACTIVITY. YOU ARE AGREEING THAT, EVEN IF RELEASED PARTIES (DEFINED BELOW) USE REASONABLE CARE IN PROVIDING THE EVENT (DEFINED BELOW), THERE IS A CHANCE YOUR CHILD MAY BE SERIOUSLY INJURED OR KILLED BY ATTENDING THE EVENT BECAUSE THERE ARE CERTAIN DANGERS INHERENT IN THE EVENT WHICH CANNOT BE AVOIDED OR ELIMINATED. BY ENTERING THE HOST VENUE (DEFINED BELOW) YOU ARE ACCEPTING THE TERMS AND CONDITIONS OF THIS AGREEMENT AND YOU ARE GIVING UP YOUR CHILD’S RIGHT AND YOUR RIGHT TO RECOVER FROM RELEASED PARTIES IN A LAWSUIT FOR ANY PERSONAL INJURY, INCLUDING DEATH, TO YOUR CHILD OR ANY PROPERTY DAMAGE THAT RESULTS FROM THE RISKS THAT ARE A NATURAL PART OF THE EVENT. YOU HAVE THE RIGHT TO REFUSE THE TERMS AND CONDITIONS OF THIS AGREEMENT BY NOT PERMITTING YOUR CHILD ENTRY TO THE HOST VENUE.

By using this ticket, ticket holder, on their own behalf and on behalf of any accompanying minor (together, “Holder”), agrees to the following terms and conditions (the “Agreement”), including an AGREEMENT TO ARBITRATE And A class action waiver. World Baseball Classic, Inc. (“WBCI”) may change the terms of the Agreement at any time, without notice (“Agreement Updates”), and Holder’s use of this ticket after Agreement Updates are posted at https://www.mlb.com/world-baseball-classic/tickets/terms will mean that Holder accepts such Agreement Updates. Holder is solely responsible for reading and understanding the Agreement before using this ticket. For the sake of clarity, with regard to each term of this Agreement in which Holder agrees to take or refrain from an action or grants rights, such term shall and does bind the ticket holder and any accompanying minor to, and ticket holder shall cause such accompanying minor to, take or refrain from such action and to grant such rights, such that the ticket holder is agreeing, on behalf of ticket holder and any accompanying minor, that ticket holder and such minor will take or refrain from such action or grant such rights (as applicable).

AN INHERENT RISK OF EXPOSURE TO COVID-19 AND OTHER COMMUNICABLE DISEASE EXISTS IN ANY PUBLIC PLACE REGARDLESS OF PRECAUTIONS THAT MAY BE TAKEN. HOLDER, ON THEIR BEHALF AND ON BEHALF OF ANY ACCOMPANYING PARTIES (AS DEFINED BELOW), AGREES TO (A) ASSUME ALL RISKS ASSOCIATED WITH COVID-19 AND OTHER COMMUNICABLE DISEASES, AND (B) COMPLY WITH ALL RELATED HEALTH & SAFETY POLICIES OF WBCI.

Holder agrees that: (a) Holder will not transmit or aid in transmitting any photographs, images, videos, audio, livestreams or other accounts or descriptions (including play-by-play data) (whether text, data or visual), in any media, of all or any part of the game to which this ticket grants admission or any entertainment, attractions, warm-ups, practices, pre-game, post-game or between-inning activities, promotions or competitions offered in connection with the game (the “Game”) or any other event (collectively with the Game, the “Event”) including, but not limited to, any account, description, picture, video, audio, reproduction or other information concerning the Game or other Event (collectively, the “Game Information”); (b) WBCI is the exclusive owner of all copyrights and other proprietary rights in the Game and the Game Information; and (c) WBCI, the Office of the Commissioner of Baseball, MLB Advanced Media, L.P., The MLB Network, LLC, the Clubs of Major League Baseball, Major League Baseball Properties, Inc., the national baseball federations participating in the World Baseball Classic, the players and other individuals participating in the World Baseball Classic, Major League Baseball Players Association, MLB Players, Inc. and each of their respective past, present and future subsidiaries, affiliates, agents, officers, employees, members, directors and owners (collectively, the “WBCI Entities”), and certain current and future sponsors and licensees of such WBCI Entities, will have the unrestricted right and license to use Holder’s image, likeness, name, voice, comments and/or other proprietary or public rights in any live or recorded broadcast, telecast, photograph, video, audio, audiovisual and/or other recording taken in connection with the Event or other transmission, distribution, public performance, or reproduction in whole or in part of the Event, for all purposes, worldwide, in perpetuity, and in any and all media now or hereafter known, without compensation. The rights granted herein to the WBCI Entities are assignable.

Holder, on their own behalf and on behalf of any Accompanying Parties (as defined at the conclusion of this paragraph), (a) consents to security searches, screenings and/or inspection of Holder’s and/or any Accompanying Parties’ person, bags, clothing, or other articles for security purposes, whether by walk-through metal detection, handheld metal detection, bag checks or otherwise; and (b) acknowledges and agrees to comply with (i) all relevant policies and protocols issued by any WBCI Entity, including, without limitation, any policies and protocols regarding security, bags, fan conduct and/or health and safety (each, a “Policy” and collectively, the “Policies”), all of which may continue to be updated from time to time between purchase of this ticket and the Event date, and (ii) all applicable laws, orders and policies of national and local authorities (subsections (i) and (ii) are, collectively, “Health and Safety Rules”). Holder acknowledges that the WBCI Entities have no liability for Holder’s and/or any Accompanying Parties’ person or property. An “Accompanying Party” is any accompanying party (other than accompanying minors) for whom Holder retains a ticket to attend the Event with Holder (each of whom Holder represents have authorized Holder to act on their behalf in accepting the applicable Agreement terms) (collectively, the “Accompanying Parties”).

The WBCI Entities reserve the right to terminate the license granted by this ticket, for any reason, by tendering to Holder the purchase price printed on this ticket. Further, the WBCI Entities reserve the right, without refund of any portion of such purchase price, to revoke any or all license(s) granted by this ticket and refuse admission to, or eject from, the Event, Holder and any Accompanying Parties if any such person: (a) violates the terms of the Agreement, including without limitation any Policy; (b) is in possession of any item or object that the WBCI Entities consider potentially dangerous, hazardous, inappropriate and/or injurious to other patrons (collectively, “Prohibited Items), and any such Prohibited Items may be confiscated; (c) appears to be or is intoxicated; (d) engages in conduct deemed by any of the WBCI Entities to be improper, disorderly or unbecoming; (e) uses vulgar or abusive language; or (f) poses a risk to the health or safety of others.

Holder assumes all risk associated with the purchase of this ticket from anyone other than WBCI or its designated agents. This ticket may not be used for advertising, promotion (including contests and sweepstakes), or other trade or commercial purposes without the express written consent of WBCI. No offer to resell or resale of this ticket is permitted to the extent prohibited by any applicable law or regulation or in violation of any Policy. Any such resale will invalidate the license granted by this ticket. This ticket may not be resold or offered for resale inside the host venue, including the ballpark, surrounding grounds and parking areas (collectively, the “Host Venue”), and any person who sells or offers this ticket for resale at any price inside the Host Venue will be removed from the premises and may be prosecuted.

Holder, on their behalf and on behalf of any Accompanying Parties, agrees to comply with all terms and conditions presented at the time of purchase of this ticket not specifically enumerated herein, including without limitation (a) terms that mandate or prescribe the quantity of tickets available to be purchased, (b) additional requirements regarding Accompanying Parties, and (c) terms regarding the resale or transfer of tickets.

FAN HEALTH PROMISE

Holder acknowledges and understands that, if infected with COVID-19 or other Communicable Disease (as defined at the conclusion of this paragraph), Holder and/or any Accompanying Parties may infect others that they may subsequently come in contact with, even if they are not experiencing or displaying any symptoms of illness, and that the risk of exposure to others remains at all times. Accordingly, Holder agrees that neither Holder nor any Accompanying Party will attend the Event if, on the date of the Event, they are required or recommended by Health and Safety Rules to stay at home, quarantine and/or isolate (e.g., as a result of testing positive for, experiencing symptoms of, or being in direct contact with someone who tested positive for, COVID-19 or other Communicable Disease). A “Communicable Disease” as used herein is COVID-19, any strains, variants, or mutations thereof, the coronavirus that causes COVID-19, and/or any other airborne, aerosolized or surface transmissible communicable and/or infectious diseases, viruses, bacteria or illnesses or the causes thereof.

ASSUMPTION OF RISK RELATED TO COVID-19 AND OTHER COMMUNICABLE DISEASES

Holder, on their behalf and on behalf of any Accompanying Parties, acknowledges, and expressly and voluntarily assumes all risks that are in any way related to or arising from being exposed to or contracting COVID-19 or other Communicable Disease in the Host Venue. By using this ticket, Holder is acknowledging and confirming, on behalf of Holder and any Related Parties (as defined at the conclusion of this paragraph) both now and in the future, that Holder understands and expressly assumes the risk that Holder and/or any Accompanying Parties may be exposed to COVID-19 or other Communicable Disease. Holder expressly understands that these risks include contracting COVID-19 or other Communicable Disease and the associated dangers, medical complications and physical and mental injuries, both foreseen and unforeseen, that may result from contracting COVID-19 or other Communicable Disease. Holder further acknowledges and understands, on their own behalf and on behalf of any Accompanying Parties: that any interaction with the general public poses an inherent risk of being exposed to and contracting Communicable Disease, including, but not limited to, COVID-19; that it cannot be guaranteed that Holder and/or any Accompanying Parties will not be exposed; and that as such, potential exposure to or contraction of COVID-19 or other Communicable Disease are risks inherent in Holder’s decision to use this ticket and cannot be eliminated. “Related Parties” are any Accompanying Parties as well as Holder’s and any Accompanying Parties’ personal representatives, assigns, heirs, next of kin and any other person or entity that may be entitled to make a claim on their behalf.

ASSUMPTION OF RISK OF PERSONAL INJURY, ILLNESS AND/OR PROPERTY DAMAGE

Holder recognizes that attendance of Holder and any Accompanying Parties at the Event is voluntary and may result in personal injury (including death), illness and/or property damage. Holder agrees to abide by all Policies and to stay alert and remain aware of Holder’s surroundings and the surroundings of any Accompanying Parties. By using this ticket or by attending, observing or participating in the Event, Holder, on their own behalf and on behalf of any Related Parties, acknowledges and assumes all risks and dangers associated with: (a) being a spectator before, during, and after a baseball game (including all warm-ups, practices, pre-game, post-game and between-inning activities, promotions and competitions), and (b) attending, observing or participating in the Event, in each case, whether any such risk or danger occurs prior to, during or subsequent thereto, including specifically (but not exclusively) the danger of being injured by thrown bats; bat fragments; thrown or batted balls; thrown, dropped, or launched items; projectiles; persons; animals; other hazards or distractions; and any incidents or accidents associated with crowds of people or the negligence or misconduct of other spectators. Holder, on their behalf and on behalf of any Related Parties, agrees that the Released Parties (as defined at the conclusion of this paragraph) will not be responsible for any personal injury (including death), illness, property damage, or other loss suffered as a result of (x) Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event and/or (y) the sole, joint, or comparative negligence, or strict liability, of any of the Released Parties (collectively, the “Spectator Claims”). “Released Parties” are: (i) the WBCI Entities, (ii) each of the WBCI Entities’ respective past, present and future licensees, sponsors, and vendors, and all of their successors and assigns, (iii) all other World Baseball Classic related entities, (iv) the Host Venue and the owners and/or operators thereof, (v) any governmental body associated with the Host Venue, (vi) the ticket vendor and/or provider, and (vii) all past, present and future affiliates, successors, assigns, players, managers, coaches, employees, partners, members, directors, officers, owners, agents, representatives and independent contractors of such entities.

GENERAL RELEASE OF LIABILITY AND COVENANT NOT TO SUE

ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, HOLDER, WAIVES, RELEASES, DISCHARGES, HOLDS HARMLESS, AND COVENANTS NOT TO SUE THE RELEASED PARTIES WITH RESPECT TO ANY CLAIM, LIABILITY OR DEMAND OF WHATEVER KIND OR NATURE, EITHER IN LAW OR IN EQUITY, THAT MAY ARISE IN CONNECTION WITH, OR RELATE IN ANY WAY TO, (A) USE OF THIS TICKET, (B) PRESENCE AT THE HOST VENUE OR (C) PARTICIPATION IN THE EVENT OR ANY RELATED ACTIVITIES ARRANGED, PROMOTED AND/OR SPONSORED BY THE RELEASED PARTIES, INCLUDING, WITHOUT LIMITATION, THOSE CLAIMS THAT ARISE AS A RESULT OF: (I) IN WHOLE OR IN PART, THE SOLE, JOINT, OR COMPARATIVE NEGLIGENCE, OR STRICT LIABILITY, OF THE RELEASED PARTIES, AND/OR (II) THE INHERENT RISKS ASSOCIATED WITH VISITING THE HOST VENUE, INCLUDING, WITHOUT LIMITATION (a) ALL SPECTATOR CLAIMS; (b) ALL CLAIMS FOR PERSONAL INJURIES, WRONGFUL DEATH OR EXPOSURE TO OR CONTRACTION OF COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER, ANY ACCOMPANYING PARTIES, OR OTHER INDIVIDUALS EXPOSED TO COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER OR ANY ACCOMPANYING PARTIES; (c) ALL CLAIMS IN CONNECTION WITH ANY SECURITY SEARCHES OR SCREENINGS OF, OR THE APPLICATION OF ANY HEALTH AND SAFETY RULES TO, HOLDER AND/OR ANY ACCOMPANYING PARTIES; AND/OR (d) ALL CLAIMS FOR INVASION OF PRIVACY, DEFAMATION, VIOLATION OF ANY RIGHT OF PUBLICITY, RIGHT OF PRIVACY OR ANY OTHER CAUSE OF ACTION ARISING OUT OF THE PRODUCTION, REPRODUCTION, DISTRIBUTION, TRANSMISSION, PUBLICATION, PUBLIC PERFORMANCE, BROADCAST OR EXHIBITION OF ADVERTISEMENTS, PROMOTIONS, CONTENT, PROGRAMS AND/OR MATERIALS IN WHICH RECORDINGS OR PHOTOGRAPHS OF HOLDER OR ANY ACCOMPANYING PARTIES FROM THE EVENT APPEAR (COLLECTIVELY, THE “RELEASED CLAIMS”).

The acknowledgements and express assumptions of risk, waivers of claims, and releases of liability contained herein are intended to be binding and full waivers of claims and releases of liability, and interpreted to be as broad and inclusive as is permitted by law, including with respect to any controversy, claim or dispute that may arise related to exposure or contraction of COVID-19 or other Communicable Disease. If any part hereof is held to be invalid or legally unenforceable for any reason (the “Affected Provision”), the remainder of the Agreement shall not be affected thereby and shall remain valid and fully enforceable and the Affected Provision shall be enforced to the maximum extent permitted by law.

BY ATTENDING AND/OR PARTICIPATING IN THE EVENT, HOLDER, ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, IS DEEMED TO HAVE GIVEN A FULL RELEASE OF LIABILITY TO THE RELEASED PARTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE GIVEN ALL OF THE FOREGOING GRANTS OF RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) SUCH OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO GRANT SUCH RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (I) SUCH MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

Holder will indemnify, defend and hold harmless the Released Parties from and against any and all demands, suits, claims, costs (including reasonable attorneys’ fees and expenses), expenses and liability arising out of, incidental to or related in any way to (i) Released Claims, (ii) Holder’s and/or any Accompanying Parties’ acts or omissions, or (iii) Holder’s breach of any of the terms, conditions or representations made in the Agreement.

HOLDER AGREES THAT THE INDEMNITY OBLIGATIONS AND LIABILITIES ASSUMED HEREIN ARE WITHOUT LIMIT AND WITHOUT REGARD TO THE CAUSE OR CAUSES THEREOF, INCLUDING THE SOLE, JOINT, OR CONCURRENT NEGLIGENCE OF ANY RELEASED PARTY, WHETHER ACTIVE OR PASSIVE, STRICT LIABILITY, LATENT, PATENT, OR PRE-EXISTING DEFECTS OR CONDITIONS, AND INCLUDING ANY CLAIMS ARISING OUT OF INGRESS, EGRESS, LOADING AND UNLOADING OF PERSONNEL OR CARGO.

ENTERING THE PLAYING FIELD FOR A GAME, OTHERWISE DISRUPTING AN EVENT AND/OR ATTEMPTING ANY PHYSICAL CONTACT WITH AN EVENT PARTICIPANT IS A CRIME PUNISHABLE BY FINE AND/OR IMPRISONMENT. VIOLATORS MAY BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW.

MANDATORY ARBITRATION AGREEMENT & CLASS ACTION WAIVER (“ARBITRATION AGREEMENT”)

The WBCI Entities care deeply about maintaining good relationships with fans. If you or any of your Accompanying Parties have a problem with this ticket or the Event, a telephone call to customer service may resolve the matter quickly and amicably. Any dispute not resolved informally must be resolved in accordance with this Arbitration Agreement.

Unless prohibited by applicable law, Holder and the WBCI Entities agree to arbitrate any and all claims and disputes relating in any way to Holder’s purchase or Holder’s or any Accompanying Parties’ use of this ticket, Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event, the Agreement, and any related dealings between them, including, without limitation, claims of illness (including COVID 19 or other Communicable Disease), bodily injury or property damage arising out of Holder’s and/or any Accompanying Parties’ attendance at and/or participation in the Event (“Arbitration Claims”), except for Arbitration Claims concerning the validity, scope or enforceability of this Arbitration Agreement, through BINDING INDIVIDUAL ARBITRATION.

In any Arbitration Claim to be resolved by arbitration, neither Holder nor the WBCI Entities will be able to have a court or jury trial or participate in a class action or class arbitration. Other rights that Holder and the WBCI Entities would have in court will not be available or will be more limited in arbitration, including the right to appeal. Holder and the WBCI Entities each understand and agree that by requiring each other to resolve all disputes through individual arbitration, WE ARE EACH WAIVING THE RIGHT TO A COURT OR JURY TRIAL. ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, CLASS ARBITRATION OR ANY SIMILAR PROCEEDING. The arbitrator(s) may not consolidate the claims of multiple parties.

Arbitrations shall be administered by a well-recognized arbitration body selected by WBCI. The arbitration shall take place in the city where the Host Venue is located. The arbitration shall be presided over by a single arbitrator, who shall be selected in accordance with the rules that, as specified above, shall govern the arbitration. The arbitrator shall be authorized to award any relief that would have been available in court, provided that the arbitrator’s authority is limited to Holder and the WBCI Entities alone, except as otherwise specifically stated herein. No arbitration decision will have any preclusive effect as to non-parties. The arbitrator’s decision shall be final and binding. The parties agree that this Arbitration Agreement extends to any other parties involved in any Arbitration Claims, including, but not limited to, any Accompanying Parties, Related Parties and/or Released Parties. This Arbitration Agreement shall take precedence over the rules of the arbitration organization or arbitrator in the event of any conflict.

Notwithstanding any other provision herein, Holder and the WBCI Entities each may exercise any lawful rights to seek provisional remedies, without waiving the right to arbitrate by doing so. Notwithstanding any other provision of the Agreement, if the foregoing class action waiver and prohibition against class arbitration is determined to be invalid or unenforceable, then this entire Arbitration Agreement shall be void. If any portion of this Arbitration Agreement other than the class action waiver and prohibition against class arbitration is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this Arbitration Agreement. This Arbitration Agreement will survive the termination of the Agreement, the conclusion of the Event, and/or the bankruptcy or insolvency of a party (to the extent permitted by applicable law).

YOU HAVE THE RIGHT TO REJECT THIS ARBITRATION AGREEMENT, BUT YOU MUST EXERCISE THIS RIGHT PROMPTLY. If you do not wish to be bound by this agreement to arbitrate, you must notify us by mailing a written opt-out notice, postmarked within thirty (30) days after the date of the Event. You must send your request to: World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Arbitration, 1271 Avenue of the Americas, New York, NY 10020. The request must include your full name, address and the statement “I reject the Arbitration Agreement contained in my Event Ticket.” If you exercise the right to reject arbitration, the other terms of the Agreement shall remain in full force and effect as if you had not rejected arbitration.

Prior to bringing a claim under this Arbitration Agreement, the claimant shall give the other party or parties written notice of the Arbitration Claim (a “Claim Notice”) and a reasonable opportunity, not less than thirty (30) days, to resolve the Arbitration Claim. Any Claim Notice to one or more of the WBCI Entities shall be sent by mail to World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Claim Notice, 1271 Avenue of the Americas, New York, NY 10020. Any Claim Notice must (a) identify the claimant by name, address, email address, and telephone number; (b) explain the nature of the Arbitration Claim and the relief demanded; and (c) be submitted only on behalf of the claimant, and not on behalf of any other party. The claimant must reasonably cooperate in providing any information about the Arbitration Claim that the other party reasonably requests and must give the other party a reasonable opportunity to respond to the demand for relief.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE AGREED TO THIS ARBITRATION AGREEMENT ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO MAKE SUCH AGREEMENT ON BEHALF OF: (I) ANY ACCOMPANYING MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

NOTICE

ALL EVENT TIMES ARE SUBJECT TO CHANGE. THE WBCI ENTITIES ARE NOT RESPONSIBLE FOR LOST, STOLEN OR DUPLICATED TICKETS.

Retain possession of this ticket until the Event has been completed. This ticket cannot be replaced if lost, stolen or destroyed. This ticket is good only for this particular Event and no part of the purchase price will be refunded by reason of the failure of the ticket holder to use it for this Event. Should this Event not be played or completed, and WBCI opts, in its sole discretion, to reschedule or resume the Event (or a portion thereof) at the Host Venue (the “Rescheduled Event”), this ticket will admit the ticket holder to the Rescheduled Event, on the date and time that the Rescheduled Event is scheduled to occur, as announced in the sole discretion of WBCI and posted at https://www.mlb.com/world-baseball-classic. No part of the purchase price will be refunded by reason of the failure of Holder to use this ticket for the Rescheduled Event.

Should the Event (or any portion thereof) (a) be canceled and not rescheduled at the Host Venue, (b) not progress to or beyond a point of play constituting a regulation game under Official Baseball Rule 7.01 (a “Regulation Game”) and not be resumed at the Host Venue, or (c) be played without fans, or with limited fans, in attendance, the WBCI Entities will determine in their sole discretion whether any refunds will be issued and post such decision at https://www.mlb.com/world-baseball-classic.

Should the Event progress to or beyond a point of play constituting a Regulation Game, no refunds will be issued.

By using this ticket, ticket holder, on their own behalf and on behalf of any accompanying minor (together, “Holder”), agrees to the following terms and conditions (the “Agreement”), including an AGREEMENT TO ARBITRATE AND A CLASS ACTION WAIVER. World Baseball Classic, Inc. (“WBCI”) may change the terms of the Agreement at any time, without notice (“Agreement Updates”), and Holder’s use of this ticket after Agreement Updates are posted at https://www.mlb.com/world-baseball-classic/tickets/terms will mean that Holder accepts such Agreement Updates. Holder is solely responsible for reading and understanding the Agreement before using this ticket. For the sake of clarity, with regard to each term of this Agreement in which Holder agrees to take or refrain from an action or grants rights, such term shall and does bind the ticket holder and any accompanying minor to, and ticket holder shall cause such accompanying minor to, take or refrain from such action and to grant such rights, such that the ticket holder is agreeing, on behalf of ticket holder and any accompanying minor, that ticket holder and such minor will take or refrain from such action or grant such rights (as applicable).

AN INHERENT RISK OF EXPOSURE TO COVID-19 AND OTHER COMMUNICABLE DISEASE EXISTS IN ANY PUBLIC PLACE REGARDLESS OF PRECAUTIONS THAT MAY BE TAKEN. HOLDER, ON THEIR BEHALF AND ON BEHALF OF ANY ACCOMPANYING PARTIES (AS DEFINED BELOW), AGREES TO (A) ASSUME ALL RISKS ASSOCIATED WITH COVID-19 AND OTHER COMMUNICABLE DISEASES, AND (B) COMPLY WITH ALL RELATED HEALTH & SAFETY POLICIES OF WBCI.

Holder agrees that: (a) Holder will not transmit or aid in transmitting any photographs, images, videos, audio, livestreams or other accounts or descriptions (including play-by-play data) (whether text, data or visual), in any media, of all or any part of the game to which this ticket grants admission or any entertainment, attractions, warm-ups, practices, pre-game, post-game or between-inning activities, promotions or competitions offered in connection with the game (the “Game”) or any other event (collectively with the Game, the “Event”) including, but not limited to, any account, description, picture, video, audio, reproduction or other information concerning the Game or other Event (collectively, the “Game Information”); (b) WBCI is the exclusive owner of all copyrights and other proprietary rights in the Game and the Game Information; and © WBCI, the Office of the Commissioner of Baseball, MLB Advanced Media, L.P., The MLB Network, LLC, the Clubs of Major League Baseball, Major League Baseball Properties, Inc., the national baseball federations participating in the World Baseball Classic, the players and other individuals participating in the World Baseball Classic, Major League Baseball Players Association, MLB Players, Inc. and each of their respective past, present and future subsidiaries, affiliates, agents, officers, employees, members, directors and owners (collectively, the “WBCI Entities”), and certain current and future sponsors and licensees of such WBCI Entities, will have the unrestricted right and license to use Holder’s image, likeness, name, voice, comments and/or other proprietary or public rights in any live or recorded broadcast, telecast, photograph, video, audio, audiovisual and/or other recording taken in connection with the Event or other transmission, distribution, public performance, or reproduction in whole or in part of the Event, for all purposes, worldwide, in perpetuity, and in any and all media now or hereafter known, without compensation. The rights granted herein to the WBCI Entities are assignable.

Holder, on their own behalf and on behalf of any Accompanying Parties (as defined at the conclusion of this paragraph), (a) consents to security searches, screenings and/or inspection of Holder’s and/or any Accompanying Parties’ person, bags, clothing, or other articles for security purposes, whether by walk-through metal detection, handheld metal detection, bag checks or otherwise; and (b) acknowledges and agrees to comply with (i) all relevant policies and protocols issued by any WBCI Entity, including, without limitation, any policies and protocols regarding security, bags, fan conduct and/or health and safety (each, a “Policy” and collectively, the “Policies”), all of which may continue to be updated from time to time between purchase of this ticket and the Event date, and (ii) all applicable laws, orders and policies of national and local authorities (subsections (i) and (ii) are, collectively, “Health and Safety Rules”). Holder acknowledges that the WBCI Entities have no liability for Holder’s and/or any Accompanying Parties’ person or property. An “Accompanying Party” is any accompanying party (other than accompanying minors) for whom Holder retains a ticket to attend the Event with Holder (each of whom Holder represents have authorized Holder to act on their behalf in accepting the applicable Agreement terms) (collectively, the “Accompanying Parties”).

The WBCI Entities reserve the right to terminate the license granted by this ticket, for any reason, by tendering to Holder the purchase price printed on this ticket. Further, the WBCI Entities reserve the right, without refund of any portion of such purchase price, to revoke any or all license(s) granted by this ticket and refuse admission to, or eject from, the Event, Holder and any Accompanying Parties if any such person: (a) violates the terms of the Agreement, including without limitation any Policy; (b) is in possession of any item or object that the WBCI Entities consider potentially dangerous, hazardous, inappropriate and/or injurious to other patrons (collectively, “Prohibited Items), and any such Prohibited Items may be confiscated; © appears to be or is intoxicated; (d) engages in conduct deemed by any of the WBCI Entities to be improper, disorderly or unbecoming; (e) uses vulgar or abusive language; or (f) poses a risk to the health or safety of others.

Holder assumes all risk associated with the purchase of this ticket from anyone other than WBCI or its designated agents. This ticket may not be used for advertising, promotion (including contests and sweepstakes), or other trade or commercial purposes without the express written consent of WBCI. No offer to resell or resale of this ticket is permitted to the extent prohibited by any applicable law or regulation or in violation of any Policy. Any such resale will invalidate the license granted by this ticket. This ticket may not be resold or offered for resale inside the host venue, including the ballpark, surrounding grounds and parking areas (collectively, the “Host Venue”), and any person who sells or offers this ticket for resale at any price inside the Host Venue will be removed from the premises and may be prosecuted.

Holder, on their behalf and on behalf of any Accompanying Parties, agrees to comply with all terms and conditions presented at the time of purchase of this ticket not specifically enumerated herein, including without limitation (a) terms that mandate or prescribe the quantity of tickets available to be purchased, (b) additional requirements regarding Accompanying Parties, and © terms regarding the resale or transfer of tickets.

FAN HEALTH PROMISE

Holder acknowledges and understands that, if infected with COVID-19 or other Communicable Disease (as defined at the conclusion of this paragraph), Holder and/or any Accompanying Parties may infect others that they may subsequently come in contact with, even if they are not experiencing or displaying any symptoms of illness, and that the risk of exposure to others remains at all times. Accordingly, Holder agrees that neither Holder nor any Accompanying Party will attend the Event if, on the date of the Event, they are required or recommended by Health and Safety Rules to stay at home, quarantine and/or isolate (e.g., as a result of testing positive for, experiencing symptoms of, or being in direct contact with someone who tested positive for, COVID-19 or other Communicable Disease). A “Communicable Disease” as used herein is COVID-19, any strains, variants, or mutations thereof, the coronavirus that causes COVID-19, and/or any other airborne, aerosolized or surface transmissible communicable and/or infectious diseases, viruses, bacteria or illnesses or the causes thereof.

ASSUMPTION OF RISK RELATED TO COVID-19 AND OTHER COMMUNICABLE DISEASES

Holder, on their behalf and on behalf of any Accompanying Parties, acknowledges, and expressly and voluntarily assumes all risks that are in any way related to or arising from being exposed to or contracting COVID-19 or other Communicable Disease in the Host Venue. By using this ticket, Holder is acknowledging and confirming, on behalf of Holder and any Related Parties (as defined at the conclusion of this paragraph) both now and in the future, that Holder understands and expressly assumes the risk that Holder and/or any Accompanying Parties may be exposed to COVID-19 or other Communicable Disease. Holder expressly understands that these risks include contracting COVID-19 or other Communicable Disease and the associated dangers, medical complications and physical and mental injuries, both foreseen and unforeseen, that may result from contracting COVID-19 or other Communicable Disease. Holder further acknowledges and understands, on their own behalf and on behalf of any Accompanying Parties: that any interaction with the general public poses an inherent risk of being exposed to and contracting Communicable Disease, including, but not limited to, COVID-19; that it cannot be guaranteed that Holder and/or any Accompanying Parties will not be exposed; and that as such, potential exposure to or contraction of COVID-19 or other Communicable Disease are risks inherent in Holder’s decision to use this ticket and cannot be eliminated. “Related Parties” are any Accompanying Parties as well as Holder’s and any Accompanying Parties’ personal representatives, assigns, heirs, next of kin and any other person or entity that may be entitled to make a claim on their behalf.

ASSUMPTION OF RISK OF PERSONAL INJURY, ILLNESS AND/OR PROPERTY DAMAGE

Holder recognizes that attendance of Holder and any Accompanying Parties at the Event is voluntary and may result in personal injury (including death), illness and/or property damage. Holder agrees to abide by all Policies and to stay alert and remain aware of Holder’s surroundings and the surroundings of any Accompanying Parties. By using this ticket or by attending, observing or participating in the Event, Holder, on their own behalf and on behalf of any Related Parties, acknowledges and assumes all risks and dangers associated with: (a) being a spectator before, during, and after a baseball game (including all warm-ups, practices, pre-game, post-game and between-inning activities, promotions and competitions), and (b) attending, observing or participating in the Event, in each case, whether any such risk or danger occurs prior to, during or subsequent thereto, including specifically (but not exclusively) the danger of being injured by thrown bats; bat fragments; thrown or batted balls; thrown, dropped, or launched items; projectiles; persons; animals; other hazards or distractions; and any incidents or accidents associated with crowds of people or the negligence or misconduct of other spectators. Holder, on their behalf and on behalf of any Related Parties, agrees that the Released Parties (as defined at the conclusion of this paragraph) will not be responsible for any personal injury (including death), illness, property damage, or other loss suffered as a result of (x) Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event and/or (y) the sole, joint, or comparative negligence, or strict liability, of any of the Released Parties (collectively, the “Spectator Claims”). “Released Parties” are: (i) the WBCI Entities, (ii) each of the WBCI Entities’ respective past, present and future licensees, sponsors, and vendors, and all of their successors and assigns, (iii) all other World Baseball Classic related entities, (iv) the Host Venue and the owners and/or operators thereof, (v) any governmental body associated with the Host Venue, (vi) the ticket vendor and/or provider, and (vii) all past, present and future affiliates, successors, assigns, players, managers, coaches, employees, partners, members, directors, officers, owners, agents, representatives and independent contractors of such entities.

GENERAL RELEASE OF LIABILITY AND COVENANT NOT TO SUE

ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, HOLDER, WAIVES, RELEASES, DISCHARGES, HOLDS HARMLESS, AND COVENANTS NOT TO SUE THE RELEASED PARTIES WITH RESPECT TO ANY CLAIM, LIABILITY OR DEMAND OF WHATEVER KIND OR NATURE, EITHER IN LAW OR IN EQUITY, THAT MAY ARISE IN CONNECTION WITH, OR RELATE IN ANY WAY TO, (A) USE OF THIS TICKET, (B) PRESENCE AT THE HOST VENUE OR © PARTICIPATION IN THE EVENT OR ANY RELATED ACTIVITIES ARRANGED, PROMOTED AND/OR SPONSORED BY THE RELEASED PARTIES, INCLUDING, WITHOUT LIMITATION, THOSE CLAIMS THAT ARISE AS A RESULT OF: (I) IN WHOLE OR IN PART, THE SOLE, JOINT, OR COMPARATIVE NEGLIGENCE, OR STRICT LIABILITY, OF THE RELEASED PARTIES, AND/OR (II) THE INHERENT RISKS ASSOCIATED WITH VISITING THE HOST VENUE, INCLUDING, WITHOUT LIMITATION (a) ALL SPECTATOR CLAIMS; (b) ALL CLAIMS FOR PERSONAL INJURIES, WRONGFUL DEATH OR EXPOSURE TO OR CONTRACTION OF COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER, ANY ACCOMPANYING PARTIES, OR OTHER INDIVIDUALS EXPOSED TO COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER OR ANY ACCOMPANYING PARTIES; © ALL CLAIMS IN CONNECTION WITH ANY SECURITY SEARCHES OR SCREENINGS OF, OR THE APPLICATION OF ANY HEALTH AND SAFETY RULES TO, HOLDER AND/OR ANY ACCOMPANYING PARTIES; AND/OR (d) ALL CLAIMS FOR INVASION OF PRIVACY, DEFAMATION, VIOLATION OF ANY RIGHT OF PUBLICITY, RIGHT OF PRIVACY OR ANY OTHER CAUSE OF ACTION ARISING OUT OF THE PRODUCTION, REPRODUCTION, DISTRIBUTION, TRANSMISSION, PUBLICATION, PUBLIC PERFORMANCE, BROADCAST OR EXHIBITION OF ADVERTISEMENTS, PROMOTIONS, CONTENT, PROGRAMS AND/OR MATERIALS IN WHICH RECORDINGS OR PHOTOGRAPHS OF HOLDER OR ANY ACCOMPANYING PARTIES FROM THE EVENT APPEAR (COLLECTIVELY, THE “RELEASED CLAIMS”).

The acknowledgements and express assumptions of risk, waivers of claims, and releases of liability contained herein are intended to be binding and full waivers of claims and releases of liability, and interpreted to be as broad and inclusive as is permitted by law, including with respect to any controversy, claim or dispute that may arise related to exposure or contraction of COVID-19 or other Communicable Disease. If any part hereof is held to be invalid or legally unenforceable for any reason (the “Affected Provision”), the remainder of the Agreement shall not be affected thereby and shall remain valid and fully enforceable and the Affected Provision shall be enforced to the maximum extent permitted by law.

BY ATTENDING AND/OR PARTICIPATING IN THE EVENT, HOLDER, ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, IS DEEMED TO HAVE GIVEN A FULL RELEASE OF LIABILITY TO THE RELEASED PARTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE GIVEN ALL OF THE FOREGOING GRANTS OF RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) SUCH OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO GRANT SUCH RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (I) SUCH MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

Holder will indemnify, defend and hold harmless the Released Parties from and against any and all demands, suits, claims, costs (including reasonable attorneys’ fees and expenses), expenses and liability arising out of, incidental to or related in any way to (i) Released Claims, (ii) Holder’s and/or any Accompanying Parties’ acts or omissions, or (iii) Holder’s breach of any of the terms, conditions or representations made in the Agreement.

HOLDER AGREES THAT THE INDEMNITY OBLIGATIONS AND LIABILITIES ASSUMED HEREIN ARE WITHOUT LIMIT AND WITHOUT REGARD TO THE CAUSE OR CAUSES THEREOF, INCLUDING THE SOLE, JOINT, OR CONCURRENT NEGLIGENCE OF ANY RELEASED PARTY, WHETHER ACTIVE OR PASSIVE, STRICT LIABILITY, LATENT, PATENT, OR PRE-EXISTING DEFECTS OR CONDITIONS, AND INCLUDING ANY CLAIMS ARISING OUT OF INGRESS, EGRESS, LOADING AND UNLOADING OF PERSONNEL OR CARGO.

ENTERING THE PLAYING FIELD FOR A GAME, OTHERWISE DISRUPTING AN EVENT AND/OR ATTEMPTING ANY PHYSICAL CONTACT WITH AN EVENT PARTICIPANT IS A CRIME PUNISHABLE BY FINE AND/OR IMPRISONMENT. VIOLATORS MAY BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW.

MANDATORY ARBITRATION AGREEMENT & CLASS ACTION WAIVER (“ARBITRATION AGREEMENT”)

The WBCI Entities care deeply about maintaining good relationships with fans. If you or any of your Accompanying Parties have a problem with this ticket or the Event, a telephone call to customer service may resolve the matter quickly and amicably. Any dispute not resolved informally must be resolved in accordance with this Arbitration Agreement.

Unless prohibited by applicable law, Holder and the WBCI Entities agree to arbitrate any and all claims and disputes relating in any way to Holder’s purchase or Holder’s or any Accompanying Parties’ use of this ticket, Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event, the Agreement, and any related dealings between them, including, without limitation, claims of illness (including COVID 19 or other Communicable Disease), bodily injury or property damage arising out of Holder’s and/or any Accompanying Parties’ attendance at and/or participation in the Event (“Arbitration Claims”), except for Arbitration Claims concerning the validity, scope or enforceability of this Arbitration Agreement, through BINDING INDIVIDUAL ARBITRATION.

In any Arbitration Claim to be resolved by arbitration, neither Holder nor the WBCI Entities will be able to have a court or jury trial or participate in a class action or class arbitration. Other rights that Holder and the WBCI Entities would have in court will not be available or will be more limited in arbitration, including the right to appeal. Holder and the WBCI Entities each understand and agree that by requiring each other to resolve all disputes through individual arbitration, WE ARE EACH WAIVING THE RIGHT TO A COURT OR JURY TRIAL. ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, CLASS ARBITRATION OR ANY SIMILAR PROCEEDING. The arbitrator(s) may not consolidate the claims of multiple parties.

Arbitrations shall be administered by a well-recognized arbitration body selected by WBCI. The arbitration shall take place in the city where the Host Venue is located. The arbitration shall be presided over by a single arbitrator, who shall be selected in accordance with the rules that, as specified above, shall govern the arbitration. The arbitrator shall be authorized to award any relief that would have been available in court, provided that the arbitrator’s authority is limited to Holder and the WBCI Entities alone, except as otherwise specifically stated herein. No arbitration decision will have any preclusive effect as to non-parties. The arbitrator’s decision shall be final and binding. The parties agree that this Arbitration Agreement extends to any other parties involved in any Arbitration Claims, including, but not limited to, any Accompanying Parties, Related Parties and/or Released Parties. This Arbitration Agreement shall take precedence over the rules of the arbitration organization or arbitrator in the event of any conflict.

Notwithstanding any other provision herein, Holder and the WBCI Entities each may exercise any lawful rights to seek provisional remedies, without waiving the right to arbitrate by doing so. Notwithstanding any other provision of the Agreement, if the foregoing class action waiver and prohibition against class arbitration is determined to be invalid or unenforceable, then this entire Arbitration Agreement shall be void. If any portion of this Arbitration Agreement other than the class action waiver and prohibition against class arbitration is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this Arbitration Agreement. This Arbitration Agreement will survive the termination of the Agreement, the conclusion of the Event, and/or the bankruptcy or insolvency of a party (to the extent permitted by applicable law).

YOU HAVE THE RIGHT TO REJECT THIS ARBITRATION AGREEMENT, BUT YOU MUST EXERCISE THIS RIGHT PROMPTLY. If you do not wish to be bound by this agreement to arbitrate, you must notify us by mailing a written opt-out notice, postmarked within thirty (30) days after the date of the Event. You must send your request to: World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Arbitration, 1271 Avenue of the Americas, New York, NY 10020. The request must include your full name, address and the statement “I reject the Arbitration Agreement contained in my Event Ticket.” If you exercise the right to reject arbitration, the other terms of the Agreement shall remain in full force and effect as if you had not rejected arbitration.

Prior to bringing a claim under this Arbitration Agreement, the claimant shall give the other party or parties written notice of the Arbitration Claim (a “Claim Notice”) and a reasonable opportunity, not less than thirty (30) days, to resolve the Arbitration Claim. Any Claim Notice to one or more of the WBCI Entities shall be sent by mail to World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Claim Notice, 1271 Avenue of the Americas, New York, NY 10020. Any Claim Notice must (a) identify the claimant by name, address, email address, and telephone number; (b) explain the nature of the Arbitration Claim and the relief demanded; and © be submitted only on behalf of the claimant, and not on behalf of any other party. The claimant must reasonably cooperate in providing any information about the Arbitration Claim that the other party reasonably requests and must give the other party a reasonable opportunity to respond to the demand for relief.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE AGREED TO THIS ARBITRATION AGREEMENT ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO MAKE SUCH AGREEMENT ON BEHALF OF: (I) ANY ACCOMPANYING MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

NOTICE

ALL EVENT TIMES ARE SUBJECT TO CHANGE. THE WBCI ENTITIES ARE NOT RESPONSIBLE FOR LOST, STOLEN OR DUPLICATED TICKETS.

Retain possession of this ticket until the Event has been completed. This ticket cannot be replaced if lost, stolen or destroyed. This ticket is good only for this particular Event and no part of the purchase price will be refunded by reason of the failure of the ticket holder to use it for this Event. Should this Event not be played or completed, and WBCI opts, in its sole discretion, to reschedule or resume the Event (or a portion thereof) at the Host Venue (the “Rescheduled Event”), this ticket will admit the ticket holder to the Rescheduled Event, on the date and time that the Rescheduled Event is scheduled to occur, as announced in the sole discretion of WBCI and posted at https://www.mlb.com/world-baseball-classic. No part of the purchase price will be refunded by reason of the failure of Holder to use this ticket for the Rescheduled Event.

Should the Event (or any portion thereof) (a) be canceled and not rescheduled at the Host Venue, (b) not progress to or beyond a point of play constituting a regulation game under Official Baseball Rule 7.01 (a “Regulation Game”) and not be resumed at the Host Venue, or © be played without fans, or with limited fans, in attendance, the WBCI Entities will issue refunds to Holders in accordance with applicable law. When and where such refunds shall be available to Holders will be posted at https://www.mlb.com/world-baseball-classic. Should the Event progress to or beyond a point of play constituting a Regulation Game, no refunds will be issued.

IT IS ILLEGAL TO PUBLISH DECEPTIVE ADVERTISEMENTS. SUCH PRACTICE MAY LEAD TO FINES OF UP TO TEN THOUSAND DOLLARS ($10,000), THE CONSUMER MAY SUBMIT A COMPLAINT TO THE DEPARTMENT OF CONSUMER AFFAIRS (DACO), ACT NO. 5 OF APRIL 23, 1973, AS AMENDED.

El Portador acepta que: (a) no transmitirá ni ayudará a transmitir fotografías, imágenes, videos, audios, transmisiones en vivo ni otros relatos o descripciones (incluidos los datos de jugada por jugada), ya sea en formato de texto, datos o visual, en ningún medio, de la totalidad o parte del juego al que este boleto otorga admisión, ni de ningún entretenimiento, atracción, práctica de calentamiento, entrenamiento, actividades previas o posteriores al juego, actividades entre entradas, promociones o competencias ofrecidas en relación con el juego (el “Juego”) ni de ningún otro evento (conjuntamente con el Juego, el “Evento”), incluyendo, entre otros, cualquier relato, descripción, imagen, video, audio, reproducción u otra información relacionada con el Juego o el Evento (en conjunto denominada la “Información del Juego”); (b) WBCI es el propietario exclusivo de todos los derechos de autor y demás derechos de propiedad sobre el Juego y la Información del Juego; y (c) WBCI, la Oficina del Comisionado de Béisbol, MLB Advanced Media, L.P., The MLB Network, LLC, los Clubes de las Grandes Ligas de Béisbol, Major League Baseball Properties, Inc., las federaciones nacionales de béisbol participantes en el Clásico Mundial de Béisbol, los jugadores y demás personas que participen en el Clásico Mundial de Béisbol, la Asociación de Jugadores de las Grandes Ligas de Béisbol, MLB Players, Inc., y cada una de sus subsidiarias, afiliadas, agentes, funcionarios, empleados, miembros, directores y propietarios, pasados, actuales y futuros (en conjunto denominadas las “Entidades WBCI”), así como ciertos patrocinadores y licenciatarios actuales y futuros de dichas Entidades WBCI, tendrán el derecho y la licencia irrestrictos de usar la imagen, semejanza, nombre, voz, comentarios u otros derechos patrimoniales o de publicidad del Portador, en cualquier transmisión en vivo o grabada, difusión televisiva, fotografía, video, audio, audiovisual u otra grabación realizada en conexión con el Evento o en cualquier otra transmisión, distribución, exhibición pública o reproducción total o parcial del Evento, para cualquier fin, en todo el mundo, a perpetuidad y en cualquier medio existente o que se cree en el futuro, sin derecho a compensación alguna. Los derechos aquí concedidos a las Entidades WBCI son transferibles.

El Portador, en su propio nombre y en el de cualquier Parte Acompañante (según se define al final de este párrafo): (a) consiente en que se realicen registros, controles o inspecciones de seguridad a su persona o a la de cualquier Parte Acompañante, que incluye bolsos, ropa u otros artículos, ya sea mediante detectores de metales fijos, portátiles, inspección manual de bolsos u otros métodos y (b) reconoce y acepta cumplir con: (i) todas las políticas y protocolos correspondientes emitidos por cualquier Entidad WBCI, que incluye, entre otros, los relacionados con seguridad, bolsos, conducta de los fanáticos o salud y seguridad (cada una de ellas denominada una “Política” y en su conjunto, las “Políticas”); estas podrán actualizarse en cualquier momento entre la compra de este boleto y la fecha del Evento y (ii) todas las leyes, órdenes y políticas aplicables de las autoridades nacionales y locales (los incisos (i) y (ii) se denominan en su conjunto, las “Reglas de Salud y Seguridad”). El Portador reconoce que las Entidades WBCI no tienen responsabilidad alguna por la persona o la propiedad del Portador o de cualquier Parte Acompañante. Se entiende por “Parte Acompañante” cualquier persona (que no sea menor de edad) para la cual el Portador posea un boleto con el fin de asistir al Evento junto con el Portador (el Portador manifiesta haber sido autorizado para actuar en representación de dicha persona al aceptar los términos aplicables del Acuerdo) (en conjunto denominadas las “Partes Acompañantes”).

Las Entidades WBCI se reservan el derecho de terminar la licencia otorgada por este boleto, por cualquier motivo, mediante la devolución al Portador del precio de compra impreso. Asimismo, las Entidades WBCI se reservan el derecho, sin reembolso alguno de dicho precio, de revocar una o todas las licencias conferidas por este boleto y negar la admisión o expulsar del Evento al Portador y a cualquier Parte Acompañante si dicha persona: (a) incumple los términos del Acuerdo, que incluye las Políticas; (b) posee cualquier objeto que las Entidades WBCI consideren potencialmente peligroso, riesgoso, inapropiado o perjudicial para otros asistentes (en conjunto denominados los “Artículos Prohibidos”), los cuales podrán ser confiscados; (c) aparenta estar o se encuentra en estado de intoxicación; (d) incurre en conducta considerada por cualquiera de las Entidades WBCI como impropia, desordenada o inadecuada; (e) utiliza lenguaje vulgar u ofensivo o (f) representa un riesgo para la salud o seguridad de terceros.

El Portador asume todo riesgo relacionado con la compra de este boleto a cualquier persona distinta de WBCI o sus agentes designados. Este boleto no podrá utilizarse para fines publicitarios, promocionales (incluye concursos y sorteos) u otros fines comerciales sin el consentimiento expreso y por escrito de WBCI. No se permite la reventa de este boleto en la medida en que esté prohibida por ley o reglamento aplicable o en violación de cualquier Política. La reventa invalida la licencia otorgada por este boleto. Este boleto no podrá revenderse ni ofrecerse en reventa dentro de la Sede, que incluye el estadio, terrenos circundantes y áreas de estacionamiento (en conjunto denominado la “Sede”) y toda persona que venda u ofrezca este boleto en reventa a cualquier precio dentro de la Sede será retirada de las instalaciones y podrá ser procesada judicialmente.

El Portador, en su propio nombre y en el de cualquier Parte Acompañante, acuerda cumplir con todos los términos y condiciones presentados al momento de la compra de este boleto que no se enumeran expresamente en este documento y que incluyen: (a) términos que establezcan o limiten la cantidad de boletos disponibles para su compra; (b) requisitos adicionales respecto de las Partes Acompañantes y (c) disposiciones sobre reventa o transferencia de boletos.

COMPROMISO DE SALUD DEL FANÁTICO

El Portador reconoce y entiende que, si se contagia con COVID-19 u otra Enfermedad Contagiosa (según se define más adelante), el Portador o la Parte Acompañante podría contagiar a otras personas con las que entre en contacto posteriormente, aun si no presenta síntomas visibles y ese riesgo de exposición a los demás persiste en todo momento. En consecuencia, el Portador acuerda que ni él ni ninguna Parte Acompañante asistirá al Evento si, en la fecha del Evento, se les requiere o recomienda por las Reglas de Salud y Seguridad permanecer en casa, ponerse en cuarentena o aislarse (por ejemplo, por haber dado positivo, presentar síntomas o haber estado en contacto directo con alguien que haya dado positivo a COVID-19 u otra Enfermedad Contagiosa). Una “Enfermedad Contagiosa”, como se utiliza en este documento, incluye COVID-19, cualquiera de sus cepas, variantes o mutaciones, el coronavirus que causa el COVID-19 o cualquier otra enfermedad, virus, bacteria o dolencia transmisible por vía aérea, aerosol o por contacto con superficies.

ASUNCIÓN DE RIESGO RELACIONADO CON COVID-19 Y OTRAS ENFERMEDADES CONTAGIOSAS

El Portador, en su propio nombre y en el de la Parte Acompañante, reconoce y asume expresa y voluntariamente todos los riesgos relacionados de cualquier forma con la exposición o contagio de COVID-19 u otra Enfermedad Contagiosa en la Sede. Al usar este boleto, el Portador reconoce y confirma, en su nombre y en el de cualquier Parte Relacionada (según se define más adelante), tanto en el presente como en el futuro, que entiende y asume expresamente el riesgo de que él o la Parte Acompañante pueda exponerse al COVID-19 u otra Enfermedad Contagiosa. El Portador entiende expresamente que dichos riesgos incluyen contraer COVID-19 u otra Enfermedad Contagiosa y los peligros asociados, complicaciones médicas y lesiones físicas y mentales, tanto previstas como imprevistas, que pueden surgir de dicho contagio de COVID-19 u otra Enfermedad Contagiosa. El Portador también reconoce y entiende, en su nombre y en el de la Parte Acompañante, que toda interacción con el público en general conlleva un riesgo inherente de exposición y contagio de una Enfermedad Contagiosa, que incluye, entre otros, al COVID-19; que no existe garantía alguna de que el Portador o sus Partes Acompañantes no se expongan; y que, por tanto, la potencial exposición al COVID-19 o el contagio de este son riesgos inherentes a la decisión del Portador de usar este boleto y no pueden eliminarse. Se entiende por “Partes Relacionadas” las Partes Acompañantes, así como los representantes personales, cesionarios, herederos, familiares más cercanos y toda otra persona o entidad con derecho a presentar un reclamo en nombre del Portador o de sus Acompañantes.

ASUNCIÓN DE RIESGO DE LESIÓN PERSONAL, ENFERMEDAD O DAÑOS A LA PROPIEDAD

El Portador reconoce que su asistencia y la de cualquier Parte Acompañante al Evento es voluntaria y puede resultar en lesiones personales (incluida la muerte), enfermedad o daños a la propiedad. El Portador acuerda cumplir con todas las Políticas, mantenerse alerta y consciente de su entorno y del de la Parte Acompañante. Al usar este boleto o al asistir, observar o participar en el Evento, el Portador, en su nombre y en el de cualquier Parte Relacionada, reconoce y asume todos los riesgos y peligros asociados con: (a) ser espectador antes, durante y después de un juego de béisbol (incluidos los calentamientos, prácticas, actividades previas y posteriores al juego, actividades entre entradas, promociones y competencias); y (b) asistir, observar o participar en el Evento, en cada caso, ya sea que dicho riesgo ocurra antes, durante o después, incluido específicamente (pero no de manera exclusiva) el peligro de ser lesionado por bates lanzados o fragmentados; pelotas lanzadas o bateadas; objetos lanzados, caídos o proyectados; proyectiles; personas; animales; otros riesgos o distracciones; y cualquier incidente o accidente asociado a multitudes o la negligencia o mala conducta de otros espectadores. El Portador, en su nombre y en el de cualquier Parte Relacionada, acepta que las Partes Exoneradas (según se definen más adelante) no serán responsables por lesiones personales (incluida la muerte), enfermedad, daños a la propiedad u otras pérdidas sufridas como resultado de: (x) la participación, asistencia u observación del Evento por parte del Portador o de la Parte Acompañante o (y) la negligencia exclusiva, conjunta o comparativa o la responsabilidad objetiva de cualquiera de las Partes Exoneradas (en conjunto denominadas las “Reclamaciones del Espectador”). Se entiende por “Partes Exoneradas”: (i) las Entidades WBCI; (ii) cada uno de sus licenciatarios, patrocinadores y proveedores, pasados, presentes y futuros y todos sus sucesores y cesionarios; (iii) todas las demás entidades relacionadas con el Clásico Mundial de Béisbol; (iv) la Sede y sus dueños u operadores; (v) cualquier organismo gubernamental asociado a la Sede, (vi) el vendedor o proveedor del boleto (vii) todos los afiliados, sucesores, cesionarios, jugadores, dirigentes, entrenadores, empleados, socios, miembros, directores, oficiales, propietarios, agentes, representantes y contratistas independientes pasados, presentes y futuros de dichas entidades.

DESCARGO GENERAL DE RESPONSABILIDAD Y PACTO DE NO DEMANDAR

EN SU PROPIO NOMBRE Y EN EL DE CUALQUIER PARTE RELACIONADA, EL PORTADOR RENUNCIA, EXONERA, DESCARGA, EXIME DE RESPONSABILIDAD Y SE COMPROMETE A NO DEMANDAR A LAS PARTES EXONERADAS RESPECTO DE CUALQUIER RECLAMACIÓN, RESPONSABILIDAD O DEMANDA DE CUALQUIER TIPO O NATURALEZA, YA SEA EN VIRTUD DEL DERECHO O DEL SISTEMA DE EQUIDAD, QUE PUEDA SURGIR EN CONEXIÓN CON LO SIGUIENTE: (A) EL USO DE ESTE BOLETO, (B) LA PRESENCIA EN LA SEDE O (C) LA PARTICIPACIÓN EN EL EVENTO O EN CUALQUIER ACTIVIDAD RELACIONADA ORGANIZADA, PROMOVIDA O AUSPICIADA POR LAS PARTES EXONERADAS. ESTO INCLUYE AQUELLAS RECLAMACIONES QUE SURJAN COMO RESULTADO DE: (I) EN TODO O EN PARTE, LA NEGLIGENCIA EXCLUSIVA, CONJUNTA O COMPARATIVA, O LA RESPONSABILIDAD ESTRICTA DE LAS PARTES EXONERADAS; (II) LOS RIESGOS INHERENTES ASOCIADOS A VISITAR LA SEDE, QUE INCLUYE: (a) TODAS LAS RECLAMACIONES DE ESPECTADORES; (b) TODAS LAS RECLAMACIONES POR LESIONES PERSONALES, MUERTE POR NEGLIGENCIA O EXPOSICIÓN/CONTAGIO DE COVID-19 U OTRA ENFERMEDAD CONTAGIOSA POR PARTE DEL PORTADOR, UNA PARTE ACOMPAÑANTE U OTRAS PERSONAS EXPUESTAS AL COVID-19 U OTRA ENFERMEDAD CONTAGIOSA POR EL PORTADOR O SUS ACOMPAÑANTES; (c) TODAS LAS RECLAMACIONES RELACIONADAS CON REGISTROS O CONTROLES DE SEGURIDAD O LA APLICACIÓN DE CUALQUIER REGLA DE SALUD Y SEGURIDAD AL PORTADOR O A CUALQUIER PARTE ACOMPAÑANTE; O (d) TODAS LAS RECLAMACIONES POR INVASIÓN DE LA PRIVACIDAD, DIFAMACIÓN, VIOLACIÓN DE DERECHOS DE PUBLICIDAD, DERECHO A LA PRIVACIDAD U OTRA CAUSA DE ACCIÓN DERIVADA DE LA PRODUCCIÓN, REPRODUCCIÓN, DISTRIBUCIÓN, TRANSMISIÓN, PUBLICACIÓN, EXHIBICIÓN PÚBLICA, DIFUSIÓN O PROYECCIÓN DE ANUNCIOS, PROMOCIONES, CONTENIDOS, PROGRAMAS O MATERIALES EN LOS QUE APAREZCAN GRABACIONES O FOTOGRAFÍAS DEL PORTADOR O DE UNA PARTE ACOMPAÑANTE DEL EVENTO (EN CONJUNTO DENOMINADAS LAS “RECLAMACIONES EXONERADAS”).

Las declaraciones, asunciones expresas de riesgo, renuncias de reclamaciones y exoneraciones de responsabilidad contenidas en este documento tienen carácter vinculante y constituyen renuncias y descargos plenos de responsabilidad. Deben interpretarse de la forma más amplia e inclusiva permitida por la ley, incluidas aquellas controversias, reclamaciones o disputas que puedan surgir en relación con la exposición o contagio de COVID-19 u otra Enfermedad Contagiosa. Si alguna disposición aquí contenida se considera inválida o jurídicamente inexigible por cualquier motivo (la “Disposición Afectada”), el resto del Acuerdo no se verá afectado y permanecerá válido y exigible en su totalidad y la Disposición Afectada se hará cumplir en la máxima medida permitida por ley.

AL ASISTIR O PARTICIPAR EN EL EVENTO, EL PORTADOR, EN SU PROPIO NOMBRE Y EN EL DE CUALQUIER PARTE RELACIONADA, SE CONSIDERARÁ QUE OTORGÓ UN DESCARGO DE RESPONSABILIDAD PLENO A LAS PARTES EXONERADAS EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY.

SI MENORES DE EDAD U OTRAS PARTES ACOMPAÑANTES ASISTEN AL EVENTO CON EL PORTADOR, SE CONSIDERARÁ QUE ESTE OTORGÓ TODAS LAS CONCESIONES DE DERECHOS, EXONERACIONES Y RENUNCIAS ANTES INDICADAS EN NOMBRE DE: (A) DICHOS MENORES, COMO SU PADRE/MADRE, TUTOR O AGENTE AUTORIZADO DE SU PADRE/MADRE O TUTOR; O (B) DICHAS OTRAS PARTES ACOMPAÑANTES, COMO SU AGENTE AUTORIZADO. SI EL PORTADOR NO DESEA O NO ESTÁ AUTORIZADO A OTORGAR TALES DERECHOS, EXONERACIONES Y RENUNCIAS EN NOMBRE DE:

(I) DICHOS MENORES, DEBERÁ ABANDONAR DE INMEDIATO LA SEDE JUNTO CON LOS MENORES; O

(II) CUALQUIER OTRA PARTE ACOMPAÑANTE, DICHA PARTE ACOMPAÑANTE DEBERÁ ABANDONAR DE INMEDIATO LA SEDE.

El Portador indemnizará, defenderá y mantendrá indemnes a las Partes Exoneradas frente a cualquier demanda, pleito, reclamación, costo (incluidos los honorarios y gastos razonables de abogados), gasto y responsabilidad que se derive, sea incidental a o esté relacionado de cualquier manera con: (i) las Reclamaciones Exoneradas; (ii) los actos u omisiones del Portador o de la Parte Acompañante; o (iii) el incumplimiento por parte del Portador de los términos, condiciones o declaraciones establecidas en este Acuerdo.

EL PORTADOR ACEPTA QUE LAS OBLIGACIONES DE INDEMNIZACIÓN Y LAS RESPONSABILIDADES ASUMIDAS EN ESTE DOCUMENTO SON ILIMITADAS Y SE APLICAN SIN IMPORTAR LA CAUSA QUE LE DE ORIGEN, INCLUIDA LA NEGLIGENCIA EXCLUSIVA, CONJUNTA O CONCURRENTE DE CUALQUIER PARTE LIBERADA, YA SEA ACTIVA O PASIVA, LA RESPONSABILIDAD ESTRICTA, DEFECTOS LATENTES, PATENTES O CONDICIONES PREEXISTENTES E INCLUYE CUALQUIER RECLAMACIÓN RELACIONADA CON EL INGRESO, SALIDA, CARGA O DESCARGA DE PERSONAL O EQUIPO.

INGRESAR AL TERRENO DE JUEGO DURANTE UN PARTIDO, INTERRUMPIR DE CUALQUIER OTRA FORMA UN EVENTO O INTENTAR TENER CONTACTO FÍSICO CON UN PARTICIPANTE DEL EVENTO CONSTITUYE UN DELITO SANCIONABLE CON MULTA O ENCARCELAMIENTO. LOS INFRACTORES PODRÁN SER PROCESADOS EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY.

ACUERDO DE ARBITRAJE OBLIGATORIO Y RENUNCIA A DEMANDA COLECTIVA (“ACUERDO DE ARBITRAJE”)

Las Entidades WBCI valoran profundamente mantener buenas relaciones con los fanáticos. Si usted o sus Partes Acompañantes tiene un problema con este boleto o con el Evento, una llamada telefónica a servicio al cliente podría resolver el asunto de manera rápida y amigable. Toda disputa que no se resuelva de manera informal deberá resolverse de conformidad con este Acuerdo de Arbitraje.

Salvo prohibición por ley aplicable, el Portador y las Entidades WBCI acuerdan arbitrar toda reclamación o disputa relacionada con la compra del boleto, el uso que el Portador o cualquier Parte Acompañante haga del mismo, su participación, asistencia u observación del Evento, el Acuerdo y cualquier interacción relacionada entre las partes. Esto incluye, entre otras, reclamaciones por enfermedad (incluyendo COVID-19 u otra Enfermedad Contagiosa), lesiones corporales o daños a la propiedad que surjan de la asistencia o participación del Portador o de la Parte Acompañante en el Evento (“Reclamaciones Arbitrales”), excepto aquellas que conciernan a la validez, alcance o exigibilidad de este Acuerdo de Arbitraje, las cuales se resolverán mediante ACUERDO DE ARBITRAJE INDIVIDUAL Y VINCULANTE.

En cualquier Reclamación Arbitral que deba resolverse mediante arbitraje, ni el Portador ni las Entidades WBCI podrán celebrar un juicio ante tribunal o jurado, ni participar en una demanda colectiva o arbitraje colectivo. Otros derechos que el Portador y las Entidades WBCI tendrían en los tribunales no estarán disponibles o estarán más limitados en el arbitraje, incluido el derecho a apelar. El Portador y las Entidades WBCI entienden y aceptan que, al exigir resolver todas las disputas mediante arbitraje individual, AMBAS PARTES RENUNCIAN AL DERECHO A UN JUICIO POR JURADO O ANTE TRIBUNAL. El árbitro no podrá consolidar las reclamaciones de múltiples partes.

Los arbitrajes serán administrados por un organismo de arbitraje reconocido, seleccionado por WBCI. El arbitraje se llevará a cabo en la ciudad donde se encuentre la Sede. El arbitraje estará presidido por un árbitro único, quien será designado conforme a las reglas que, según lo indicado anteriormente, regirán el arbitraje. El árbitro estará autorizado para conceder cualquier remedio o reparación que hubiese estado disponible en un tribunal, siempre que su autoridad esté limitada exclusivamente al Portador y a las Entidades WBCI, salvo lo específicamente dispuesto en este documento. Ninguna decisión arbitral tendrá efectos vinculantes para terceros ajenos al procedimiento. La decisión del árbitro será definitiva y obligatoria. Las partes acuerdan que este Acuerdo de Arbitraje se extiende a toda otra persona involucrada en una Reclamación Arbitral, que incluye las Partes Acompañantes, Partes Relacionadas o Partes Exoneradas. Este Acuerdo de Arbitraje prevalecerá sobre las reglas de la organización de arbitraje o del árbitro en caso de conflicto.

No obstante cualquier disposición contraria, el Portador y las Entidades WBCI podrán ejercer cualquier derecho legal para solicitar medidas cautelares o provisionales, sin que ello implique renunciar al derecho a arbitrar. Si la renuncia a demanda colectiva y la prohibición de arbitraje colectivo antes establecida se determinan inválidas o inexigibles, este Acuerdo de Arbitraje quedará totalmente nulo. Si alguna otra disposición de este Acuerdo de Arbitraje distinta a esa renuncia se considerase inválida o inexigible, ello no invalidará el resto de las disposiciones del Acuerdo de Arbitraje. Este Acuerdo de Arbitraje permanecerá vigente tras la extinción del Acuerdo, la conclusión del Evento o la quiebra o insolvencia de cualquiera de las partes (en la medida permitida por la ley aplicable).

USTED TIENE DERECHO A RECHAZAR ESTE ACUERDO DE ARBITRAJE, PERO DEBE EJERCERLO DE FORMA OPORTUNA. Si no desea quedar obligado, debe notificarlo enviando por correo una notificación escrita de exclusión, con matasellos dentro de los treinta (30) días siguientes a la fecha del Evento. La solicitud debe enviarse a: World Baseball Classic, Inc., Attn: Legal Department, Asunto: Arbitraje de boleto, 1271 Avenue of the Americas, New York, NY 10020. La solicitud debe incluir su nombre completo, dirección y la declaración: “Rechazo el Acuerdo de Arbitraje contenido en mi boleto para el Evento”. Si ejerce este derecho de rechazo, los demás términos del Acuerdo permanecerán en plena vigencia como si no hubiera rechazado el arbitraje.

SI EL PORTADOR NO DESEA O NO ESTÁ AUTORIZADO PARA ACEPTAR ESTE ACUERDO EN NOMBRE DE: (I) CUALQUIER MENOR ACOMPAÑANTE, EL PORTADOR DEBERÁ ABANDONAR DE INMEDIATO LA SEDE JUNTO CON DICHOS MENORES; O (II) CUALQUIER OTRA PARTE ACOMPAÑANTE, DICHA PARTE ACOMPAÑANTE DEBERÁ ABANDONAR DE INMEDIATO LA SEDE.

AVISO

TODOS LOS HORARIOS DEL EVENTO ESTÁN SUJETOS A CAMBIOS. LAS ENTIDADES WBCI NO SE RESPONSABILIZAN POR BOLETOS PERDIDOS, ROBADOS O DUPLICADOS.

El Portador deberá conservar este boleto hasta que el Evento haya concluido. Este boleto no puede ser reemplazado en caso de pérdida, robo o destrucción. Este boleto es válido únicamente para este Evento en particular y ninguna parte del precio de compra será reembolsada por el hecho de que el Portador no lo utilice para dicho Evento. Si el Evento no se lleva a cabo o no se completa, y WBCI decide, a su entera discreción, reprogramar o reanudar el Evento (o una parte de este) en la Sede (el “Evento Reprogramado”), este boleto permitirá al Portador la admisión al Evento Reprogramado, en la fecha y hora en que este sea programado, según lo anuncie WBCI a su entera discreción y se publique en https://www.mlb.com/world-baseball-classic. HOLDER VOLUNTARILY ASSUMES RISK OF ILLNESS/INJURY; NO RE-ENTRY UPON EXIT; THIS TICKET LIMITS HOLDER’S LEGAL RIGHTS

By using this ticket, ticket holder, on their own behalf and on behalf of any accompanying minor (together, “Holder”), agrees to the following terms and conditions (the “Agreement”), including an AGREEMENT TO ARBITRATE And A class action waiver. World Baseball Classic, Inc. (“WBCI”) may change the terms of the Agreement at any time, without notice (“Agreement Updates”), and Holder’s use of this ticket after Agreement Updates are posted at https://www.mlb.com/world-baseball-classic/tickets/terms will mean that Holder accepts such Agreement Updates. Holder is solely responsible for reading and understanding the Agreement before using this ticket. For the sake of clarity, with regard to each term of this Agreement in which Holder agrees to take or refrain from an action or grants rights, such term shall and does bind the ticket holder and any accompanying minor to, and ticket holder shall cause such accompanying minor to, take or refrain from such action and to grant such rights, such that the ticket holder is agreeing, on behalf of ticket holder and any accompanying minor, that ticket holder and such minor will take or refrain from such action or grant such rights (as applicable).

AN INHERENT RISK OF EXPOSURE TO COVID-19 EXISTS IN ANY PUBLIC PLACE REGARDLESS OF PRECAUTIONS THAT MAY BE TAKEN. HOLDER, ON THEIR BEHALF AND ON BEHALF OF ANY ACCOMPANYING PARTIES (AS DEFINED BELOW), AGREES TO (A) ASSUME ALL RISKS ASSOCIATED WITH COVID-19 AND OTHER COMMUNICABLE DISEASES, AND (B) COMPLY WITH ALL RELATED HEALTH & SAFETY POLICIES OF WBCI.

Holder agrees that: (a) Holder will not transmit or aid in transmitting any photographs, images, videos, audio, livestreams or other accounts or descriptions (including play-by-play data) (whether text, data or visual), in any media, of all or any part of the game to which this ticket grants admission or any entertainment, attractions, warm-ups, practices, pre-game, post-game or between-inning activities, promotions or competitions offered in connection with the game (the “Game”) or any other event (collectively with the Game, the “Event”) including, but not limited to, any account, description, picture, video, audio, reproduction or other information concerning the Game or other Event (collectively, the “Game Information”); (b) WBCI is the exclusive owner of all copyrights and other proprietary rights in the Game and the Game Information; and (c) WBCI, the Office of the Commissioner of Baseball, MLB Advanced Media, L.P., The MLB Network, LLC, the Clubs of Major League Baseball, Major League Baseball Properties, Inc., the national baseball federations participating in the World Baseball Classic, the players and other individuals participating in the World Baseball Classic, Major League Baseball Players Association, MLB Players, Inc. and each of their respective past, present and future subsidiaries, affiliates, agents, officers, employees, members, directors and owners (collectively, the “WBCI Entities”), and certain current and future sponsors and licensees of such WBCI Entities, will have the unrestricted right and license to use Holder’s image, likeness, name, voice, comments and/or other proprietary or public rights in any live or recorded broadcast, telecast, photograph, video, audio, audiovisual and/or other recording taken in connection with the Event or other transmission, distribution, public performance, or reproduction in whole or in part of the Event, for all purposes, worldwide, in perpetuity, and in any and all media now or hereafter known, without compensation. The rights granted herein to the WBCI Entities are assignable.

Holder, on their own behalf and on behalf of any Accompanying Parties (as defined at the conclusion of this paragraph), (a) consents to security searches, screenings and/or inspection of Holder’s and/or any Accompanying Parties’ person, bags, clothing, or other articles for security purposes, whether by walk-through metal detection, handheld metal detection, bag checks or otherwise; and (b) acknowledges and agrees to comply with (i) all relevant policies and protocols issued by any WBCI Entity, including, without limitation, any policies and protocols regarding security, bags, fan conduct and/or health and safety (each, a “Policy” and collectively, the “Policies”), all of which may continue to be updated from time to time between purchase of this ticket and the Event date, and (ii) all applicable laws, orders and policies of national and local authorities ((i) and (ii) are, collectively, “Health and Safety Rules”). Holder acknowledges that the WBCI Entities have no liability for Holder’s and/or any Accompanying Parties’ person or property. An “Accompanying Party” is any accompanying party (other than accompanying minors) for whom Holder retains a ticket to attend the Event with Holder (each of whom Holder represents have authorized Holder to act on their behalf in accepting the applicable Agreement terms) (collectively, the “Accompanying Parties”).

The WBCI Entities reserve the right to terminate the license granted by this ticket, for any reason, by tendering to Holder the purchase price printed on this ticket. Further, the WBCI Entities reserve the right, without refund of any portion of such purchase price, to revoke any or all license(s) granted by this ticket and refuse admission to, or eject from, the Event, Holder and any Accompanying Parties if any such person: (a) violates the terms of the Agreement, including without limitation any Policy; (b) is in possession of any item or object that the WBCI Entities consider potentially dangerous, hazardous, inappropriate and/or injurious to other patrons (collectively, “Prohibited Items), and any such Prohibited Items may be confiscated; (c) appears to be or is intoxicated; (d) engages in conduct deemed by any of the WBCI Entities to be improper, disorderly or unbecoming; (e) uses vulgar or abusive language; or (f) poses a risk to the health or safety of others.

Holder assumes all risk associated with the purchase of this ticket from anyone other than WBCI or its designated agents. This ticket may not be used for advertising, promotion (including contests and sweepstakes), or other trade or commercial purposes without the express written consent of WBCI. No offer to resell or resale of this ticket is permitted to the extent prohibited by any applicable law or regulation or in violation of any Policy. Any such resale will invalidate the license granted by this ticket. This ticket may not be resold or offered for resale inside the host venue, including the ballpark, surrounding grounds and parking areas (collectively, the “Host Venue”), and any person who sells or offers this ticket for resale at any price inside the Host Venue will be removed from the premises and may be prosecuted.

Holder, on their behalf and on behalf of any Accompanying Parties, agrees to comply with all terms and conditions presented at the time of purchase of this ticket not specifically enumerated herein, including without limitation (a) terms that mandate or prescribe the quantity of tickets available to be purchased, (b) additional requirements regarding Accompanying Parties, and (c) terms regarding the resale or transfer of tickets.

FAN HEALTH PROMISE

Holder acknowledges and understands that, if infected with COVID-19 or other Communicable Disease (as defined at the conclusion of this paragraph), Holder and/or any Accompanying Parties may infect others that they may subsequently come in contact with, even if they are not experiencing or displaying any symptoms of illness, and that the risk of exposure to others remains at all times. Accordingly, Holder agrees that neither Holder nor any Accompanying Party will attend the Event if, on the date of the Event, they are required or recommended by Health and Safety Rules to stay at home, quarantine and/or isolate (e.g., as a result of testing positive for, experiencing symptoms of, or being in direct contact with someone who tested positive for, COVID-19 or other Communicable Disease). A “Communicable Disease” as used herein is COVID-19, any strains, variants, or mutations thereof, the coronavirus that causes COVID-19, and/or any other airborne, aerosolized or surface transmissible communicable and/or infectious diseases, viruses, bacteria or illnesses or the causes thereof.

ASSUMPTION OF RISK RELATED TO COVID-19 AND OTHER COMMUNICABLE DISEASES

Holder, on their behalf and on behalf of any Accompanying Parties, acknowledges, and expressly and voluntarily assumes all risks that are in any way related to or arising from being exposed to or contracting COVID-19 or other Communicable Disease in the Host Venue. By using this ticket, Holder is acknowledging and confirming, on behalf of Holder and any Related Parties (as defined at the conclusion of this paragraph) both now and in the future, that Holder understands and expressly assumes the risk that Holder and/or any Accompanying Parties may be exposed to COVID-19 or other Communicable Disease. Holder expressly understands that these risks include contracting COVID-19 or other Communicable Disease and the associated dangers, medical complications and physical and mental injuries, both foreseen and unforeseen, that may result from contracting COVID-19 or other Communicable Disease. Holder further acknowledges and understands, on their own behalf and on behalf of any Accompanying Parties: that any interaction with the general public poses an inherent risk of being exposed to and contracting Communicable Disease, including, but not limited to, COVID-19; that it cannot be guaranteed that Holder and/or any Accompanying Parties will not be exposed; and that as such, potential exposure to or contraction of COVID-19 or other Communicable Disease are risks inherent in Holder’s decision to use this ticket and cannot be eliminated. “Related Parties” are any Accompanying Parties as well as Holder’s and any Accompanying Parties’ personal representatives, assigns, heirs, next of kin and any other person or entity that may be entitled to make a claim on their behalf.

ASSUMPTION OF RISK OF PERSONAL INJURY, ILLNESS AND/OR PROPERTY DAMAGE

Holder recognizes that attendance of Holder and any Accompanying Parties at the Event is voluntary and may result in personal injury (including death), illness and/or property damage. Holder agrees to abide by all Policies and to stay alert and remain aware of Holder’s surroundings and the surroundings of any Accompanying Parties. By using this ticket or by attending, observing or participating in the Event, Holder, on their own behalf and on behalf of any Related Parties, acknowledges and assumes all risks and dangers associated with: (a) being a spectator before, during, and after a baseball game (including all warm-ups, practices, pre-game, post-game and between-inning activities, promotions and competitions), and (b) attending, observing or participating in the Event, in each case, whether any such risk or danger occurs prior to, during or subsequent thereto, including specifically (but not exclusively) the danger of being injured by thrown bats; bat fragments; thrown or batted balls; thrown, dropped, or launched items; projectiles; persons; animals; other hazards or distractions; and any incidents or accidents associated with crowds of people or the negligence or misconduct of other spectators. Holder, on their behalf and on behalf of any Related Parties, agrees that the Released Parties (as defined at the conclusion of this paragraph) will not be responsible for any personal injury (including death), illness, property damage, or other loss suffered as a result of (x) Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event and/or (y) the sole, joint, or comparative negligence, or strict liability, of any of the Released Parties (collectively, the “Spectator Claims”). “Released Parties” are: (i) the WBCI Entities, (ii) each of the WBCI Entities’ respective past, present and future licensees, sponsors, and vendors, and all of their successors and assigns, (iii) all other World Baseball Classic related entities, (iv) the Host Venue and the owners and/or operators thereof, (v) any governmental body associated with the Host Venue, (vi) the ticket vendor and/or provider, and (vii) all past, present and future affiliates, successors, assigns, players, managers, coaches, employees, partners, members, directors, officers, owners, agents, representatives and independent contractors of such entities.

GENERAL RELEASE OF LIABILITY AND COVENANT NOT TO SUE

ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, HOLDER, WAIVES, RELEASES, DISCHARGES, HOLDS HARMLESS, AND COVENANTS NOT TO SUE THE RELEASED PARTIES WITH RESPECT TO ANY CLAIM, LIABILITY OR DEMAND OF WHATEVER KIND OR NATURE, EITHER IN LAW OR IN EQUITY, THAT MAY ARISE IN CONNECTION WITH, OR RELATE IN ANY WAY TO, (A) USE OF THIS TICKET, (B) PRESENCE AT THE HOST VENUE OR (C) PARTICIPATION IN THE EVENT OR ANY RELATED ACTIVITIES ARRANGED, PROMOTED AND/OR SPONSORED BY THE RELEASED PARTIES, INCLUDING, WITHOUT LIMITATION, THOSE CLAIMS THAT ARISE AS A RESULT OF: (I) IN WHOLE OR IN PART, THE SOLE, JOINT, OR COMPARATIVE NEGLIGENCE, OR STRICT LIABILITY, OF THE RELEASED PARTIES, AND/OR (II) THE INHERENT RISKS ASSOCIATED WITH VISITING THE HOST VENUE, INCLUDING, WITHOUT LIMITATION (a) ALL SPECTATOR CLAIMS; (b) ALL CLAIMS FOR PERSONAL INJURIES, WRONGFUL DEATH OR EXPOSURE TO OR CONTRACTION OF COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER, ANY ACCOMPANYING PARTIES, OR OTHER INDIVIDUALS EXPOSED TO COVID-19 OR OTHER COMMUNICABLE DISEASE BY HOLDER OR ANY ACCOMPANYING PARTIES; (c) ALL CLAIMS IN CONNECTION WITH ANY SECURITY SEARCHES OR SCREENINGS OF, OR THE APPLICATION OF ANY HEALTH AND SAFETY RULES TO, HOLDER AND/OR ANY ACCOMPANYING PARTIES; AND/OR (d) ALL CLAIMS FOR INVASION OF PRIVACY, DEFAMATION, VIOLATION OF ANY RIGHT OF PUBLICITY, RIGHT OF PRIVACY OR ANY OTHER CAUSE OF ACTION ARISING OUT OF THE PRODUCTION, REPRODUCTION, DISTRIBUTION, TRANSMISSION, PUBLICATION, PUBLIC PERFORMANCE, BROADCAST OR EXHIBITION OF ADVERTISEMENTS, PROMOTIONS, CONTENT, PROGRAMS AND/OR MATERIALS IN WHICH RECORDINGS OR PHOTOGRAPHS OF HOLDER OR ANY ACCOMPANYING PARTIES FROM THE EVENT APPEAR (COLLECTIVELY, THE “RELEASED CLAIMS”).

The acknowledgements and express assumptions of risk, waivers of claims, and releases of liability contained herein are intended to be binding and full waivers of claims and releases of liability, and interpreted to be as broad and inclusive as is permitted by law, including with respect to any controversy, claim or dispute that may arise related to exposure or contraction of COVID-19 or other Communicable Disease. If any part hereof is held to be invalid or legally unenforceable for any reason (the “Affected Provision”), the remainder of the Agreement shall not be affected thereby and shall remain valid and fully enforceable and the Affected Provision shall be enforced to the maximum extent permitted by law.

BY ATTENDING AND/OR PARTICIPATING IN THE EVENT, HOLDER, ON THEIR OWN BEHALF AND ON BEHALF OF ANY RELATED PARTIES, IS DEEMED TO HAVE GIVEN A FULL RELEASE OF LIABILITY TO THE RELEASED PARTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE GIVEN ALL OF THE FOREGOING GRANTS OF RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) SUCH OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO GRANT SUCH RIGHTS, RELEASES AND WAIVERS ON BEHALF OF: (I) SUCH MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

Holder will indemnify, defend and hold harmless the Released Parties from and against any and all demands, suits, claims, costs (including reasonable attorneys’ fees and expenses), expenses and liability arising out of, incidental to or related in any way to (i) Released Claims, (ii) Holder’s and/or any Accompanying Parties’ acts or omissions, or (iii) Holder’s breach of any of the terms, conditions or representations made in the Agreement.

HOLDER AGREES THAT THE INDEMNITY OBLIGATIONS AND LIABILITIES ASSUMED HEREIN ARE WITHOUT LIMIT AND WITHOUT REGARD TO THE CAUSE OR CAUSES THEREOF, INCLUDING THE SOLE, JOINT, OR CONCURRENT NEGLIGENCE OF ANY RELEASED PARTY, WHETHER ACTIVE OR PASSIVE, STRICT LIABILITY, LATENT, PATENT, OR PRE-EXISTING DEFECTS OR CONDITIONS, AND INCLUDING ANY CLAIMS ARISING OUT OF INGRESS, EGRESS, LOADING AND UNLOADING OF PERSONNEL OR CARGO.

ENTERING THE PLAYING FIELD FOR A GAME, OTHERWISE DISRUPTING AN EVENT AND/OR ATTEMPTING ANY PHYSICAL CONTACT WITH AN EVENT PARTICIPANT IS A CRIME PUNISHABLE BY FINE AND/OR IMPRISONMENT. VIOLATORS MAY BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW.

TO THE EXTENT PERMITTED BY LAW, IF A HOLDER INCURS DAMAGE DUE TO WBCI’S BREACH OF ANY OF THE AGREEMENT, THE MAXIMUM AMOUNT OF DAMAGES PAYABLE TO HOLDER WILL BE THE TOTAL AMOUNT OF THE FACE VALUE OF THE TICKETS APPLIED FOR, PURCHASED OR HELD. IN ADDITION, WBCI ENTITIES WILL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT OR INCIDENTAL DAMAGES DUE TO THEIR HAVING BREACHED THE AGREEMENT. THE ABOVE RELEASE OF LIABILITY OR ANY LIMITATION OF LIABILITY GIVEN FOR WBCI ENTITIES UNDER THIS AGREEMENT DOES NOT APPLY IN CASE THE RELEASED CLAIMS ARE CAUSED BY GROSS NEGLIGENCE OR WILLFUL MISCONDUCTS OF ANY OF WBCI ENTITIES.

MANDATORY ARBITRATION AGREEMENT & CLASS ACTION WAIVER (“ARBITRATION AGREEMENT”)

The WBCI Entities care deeply about maintaining good relationships with fans. If you or any of your Accompanying Parties have a problem with this ticket or the Event, a telephone call to customer service may resolve the matter quickly and amicably. Any dispute not resolved informally must be resolved in accordance with this Arbitration Agreement.

Unless prohibited by applicable law, Holder and the WBCI Entities agree to arbitrate any and all claims and disputes relating in any way to Holder’s purchase or Holder’s or any Accompanying Parties’ use of this ticket, Holder’s and/or any Accompanying Parties’ participation in, attendance at, and/or observation of the Event, the Agreement, and any related dealings between them, including, without limitation, claims of illness (including COVID 19 or other Communicable Disease), bodily injury or property damage arising out of Holder’s and/or any Accompanying Parties’ attendance at and/or participation in the Event (“Arbitration Claims”), except for Arbitration Claims concerning the validity, scope or enforceability of this Arbitration Agreement, through BINDING INDIVIDUAL ARBITRATION.

In any Arbitration Claim to be resolved by arbitration, neither Holder nor the WBCI Entities will be able to have a court or jury trial or participate in a class action or class arbitration. Other rights that Holder and the WBCI Entities would have in court will not be available or will be more limited in arbitration, including the right to appeal. Holder and the WBCI Entities each understand and agree that by requiring each other to resolve all disputes through individual arbitration, WE ARE EACH WAIVING THE RIGHT TO A COURT OR JURY TRIAL. ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, CLASS ARBITRATION OR ANY SIMILAR PROCEEDING. The arbitrator(s) may not consolidate the claims of multiple parties.

Arbitrations shall be administered by a well-recognized arbitration body selected by WBCI. The arbitration shall take place in the city where the Host Venue is located. The arbitration shall be presided over by a single arbitrator, who shall be selected in accordance with the rules that, as specified above, shall govern the arbitration. The arbitrator shall be authorized to award any relief that would have been available in court, provided that the arbitrator’s authority is limited to Holder and the WBCI Entities alone, except as otherwise specifically stated herein. No arbitration decision will have any preclusive effect as to non-parties. The arbitrator’s decision shall be final and binding. The parties agree that this Arbitration Agreement extends to any other parties involved in any Arbitration Claims, including, but not limited to, any Accompanying Parties, Related Parties and/or Released Parties. This Arbitration Agreement shall take precedence over the rules of the arbitration organization or arbitrator in the event of any conflict.

Notwithstanding any other provision herein, Holder and the WBCI Entities each may exercise any lawful rights to seek provisional remedies, without waiving the right to arbitrate by doing so. Notwithstanding any other provision of the Agreement, if the foregoing class action waiver and prohibition against class arbitration is determined to be invalid or unenforceable, then this entire Arbitration Agreement shall be void. If any portion of this Arbitration Agreement other than the class action waiver and prohibition against class arbitration is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this Arbitration Agreement. This Arbitration Agreement will survive the termination of the Agreement, the conclusion of the Event, and/or the bankruptcy or insolvency of a party (to the extent permitted by applicable law).

YOU HAVE THE RIGHT TO REJECT THIS ARBITRATION AGREEMENT, BUT YOU MUST EXERCISE THIS RIGHT PROMPTLY. If you do not wish to be bound by this agreement to arbitrate, you must notify us by mailing a written opt-out notice, postmarked within thirty (30) days after the date of the Event. You must send your request to: World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Arbitration, 1271 Avenue of the Americas, New York, NY 10020. The request must include your full name, address and the statement “I reject the Arbitration Agreement contained in my Event Ticket.” If you exercise the right to reject arbitration, the other terms of the Agreement shall remain in full force and effect as if you had not rejected arbitration.

Prior to bringing a claim under this Arbitration Agreement, the Claimant shall give the other party or parties written notice of the Arbitration Claim (a “Claim Notice”) and a reasonable opportunity, not less than thirty (30) days, to resolve the Arbitration Claim. Any Claim Notice to one or more of the WBCI Entities shall be sent by mail to World Baseball Classic, Inc., Attn: Legal Department, Re: Ticket Claim Notice, 1271 Avenue of the Americas, New York, NY 10020. Any Claim Notice must (a) identify the Claimant by name, address, email address, and telephone number; (b) explain the nature of the Arbitration Claim and the relief demanded; and (c) be submitted only on behalf of the Claimant, and not on behalf of any other party. The Claimant must reasonably cooperate in providing any information about the Arbitration Claim that the other party reasonably requests and must give the other party a reasonable opportunity to respond to the demand for relief.

IF MINOR(S) AND/OR OTHER ACCOMPANYING PARTIES ATTEND THE EVENT WITH HOLDER, HOLDER IS DEEMED TO HAVE AGREED TO THIS ARBITRATION AGREEMENT ON BEHALF OF: (A) SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN; AND/OR (B) OTHER ACCOMPANYING PARTIES, AS THEIR AUTHORIZED AGENT. IF HOLDER DOES NOT WISH TO OR IS NOT AUTHORIZED TO MAKE SUCH AGREEMENT ON BEHALF OF: (I) ANY ACCOMPANYING MINOR(S), HOLDER SHOULD IMMEDIATELY LEAVE THE HOST VENUE WITH THOSE MINOR(S); AND/OR (II) ANY OTHER ACCOMPANYING PARTY, SUCH ACCOMPANYING PARTY SHOULD IMMEDIATELY LEAVE THE HOST VENUE.

NOTICE

ALL EVENT TIMES ARE SUBJECT TO CHANGE. THE WBCI ENTITIES ARE NOT RESPONSIBLE FOR LOST, STOLEN OR DUPLICATED TICKETS.

Retain possession of this ticket until the Event has been completed. This ticket cannot be replaced if lost, stolen or destroyed. This ticket is good only for this particular Event and no part of the purchase price will be refunded by reason of the failure of the ticket holder to use it for this Event. Should this Event not be played or completed, and WBCI opts, in its sole discretion, to reschedule or resume the Event (or a portion thereof) at the Host Venue (the “Rescheduled Event”), this ticket will admit the ticket holder to the Rescheduled Event, on the date and time that the Rescheduled Event is scheduled to occur, as announced in the sole discretion of WBCI and posted at https://www.mlb.com/world-baseball-classic. No part of the purchase price will be refunded by reason of the failure of Holder to use this ticket for the Rescheduled Event.

Should the Event (or any portion thereof) (a) be canceled and not rescheduled at the Host Venue, (b) not progress to or beyond a point of play constituting a regulation game under Official Baseball Rule 7.01 (a “Regulation Game”) and not be resumed at the Host Venue, or (c) be played without fans, or with limited fans, in attendance, the WBCI Entities will determine in their sole discretion whether any refunds will be issued and post such decision at https://www.mlb.com/world-baseball-classic.

Should the Event progress to or beyond a point of play constituting a Regulation Game, no refunds will be issued.

本チケットを使用することにより、チケットの保有者は、自らのため、かつ同伴する未成年者(以下併せて「保有者」といいます。)に代わり、仲裁および集団訴訟の放棄に関する合意(AGREEMENT TO ARBITRATE A class action waiver)を含む、以下の条件(以下「本規約」といいます。)に同意したものとします。 World Baseball Classic, Inc.(以下「WBCI」といいます。)は、本規約の内容を、予告なく、時期を問わず、変更することができるものとします(以下「規約更新」といいます。)。保有者は、規約更新がウェブサイト(https://www.mlb.com/world-baseball-classic/tickets/terms)上に掲載され、その後に本チケットを使用した場合、その規約更新を承認したものとみなされます。保有者は、本チケットを使用する前に、自らの責任において、本規約に記載された事項を確認し、その内容を理解するものとします。なお、本規約において一定の行為をすることまたはしないこと、一定の権利を付与することを保有者が同意することについて定めた規定は、保有者と同伴の未成年者の双方を、現在および将来に亘って拘束するものとし、該当する場合には、チケット保有者は、同伴の未成年者をして、本規約で保有者が、自らと同伴する未成年者のために同意した本規約に定めるところにより、一定の行為をさせもしくはさせず、また一定の権利を付与させるものとします。

公共の場での活動においては、細心の注意を払い感染症対策を講じたとしても、新型コロナウイルス感染症(COVID-19)へ感染するリスクが不可避的に生じます。保有者は、自己および同行者(後に定義します。)のために、(a)新型コロナウイルス感染症(COVID-19)およびその他の感染症に関連するあらゆるリスクを負い、(b)関連するWBCIの健康および安全ポリシーをすべて遵守することに同意するものとします。

保有者は、以下の事項に同意するものとします: (a) 保有者は、本チケットにより入場が認められる試合の全部もしくは一部、または当該試合に関連して提供されるあらゆる興行、アトラクション、準備運動、練習、試合前・試合後・イニング間の活動、宣伝、競技(以下「本試合」といいます。)その他のイベント(以下本試合と合せて「本イベント」といいます。)の、あらゆる写真、画像、動画、音声、ライブストリーム、その他の説明、解説(実況情報を含みます。)(文字、データ、映像のいずれであるかを問いません。)(本試合または本イベントに関連するあらゆる説明、解説、写真、動画、音声、再現、その他の情報(以下「本試合情報」といいます。)を含みます。)を、いかなる媒体を用いても、送信または送信の補助をしてはなりません。 (b)WBCIは、本試合および本試合情報に含まれるすべての著作権その他の財産権を、独占的に保有します。(c) WBCI、Office of the Commissioner of Baseball、MLB Advanced Media,L.P.、The MLB Network, LLC 、Clubs of Major League Baseball、Major League Baseball Properties, Inc.、World Baseball Classicに参加する各国の野球連盟、World Baseball Classicに参加する選手およびその他の個人、Major League Baseball Players Association、MLB Players, Inc.およびこれらの団体または個人、それぞれの過去、現在、将来の子会社、関連会社、エージェント、役員、従業員、社員、役員およびオーナー(以下総称して「WBCI関係者」といいます。)、ならびにWBCI関係者の現在および将来のスポンサーおよびライセンシーは、本イベントに関連して撮影・記録された生放送、録画放送、テレビ放送、写真、動画、音声、オーディオビジュアルもしくはその他の記録、または本イベントの全体または一部の送信、頒布、公演、複製に含まれる保有者の画像、肖像、氏名、音声、コメント、その他有形無形を問わずあらゆる種類の財産権および公権を、全世界で、現在または将来のあらゆるメディアにおいて、 あらゆる目的のために、永久に、無制限に、無償で利用できる権利を有します。WBCI関係者は、本規約で付与された権利を譲渡することができます。

保有者は、自らのため、および同行者(本段落末尾に定義します。)に代わり、(a)ゲート型金属探知機、ハンドヘルド金属探知機、手荷物検査、その他の手段による、保有者および同行者の身体、バッグ、衣類、その他物品 を対象とする、セキュリティのための検査、選別および/または調査を受けることに同意し、(b) (i) WBCI関係者が定める、関連する一切の規則および手順(以下「規則等」といいます。規則等には、セキュリティ、バッグ、ファン行動または健康、安全に関する規則および手順を含みます。なお、これらの規則および手順は、本チケットの購入の時から本イベント当日までの間、随時更新されることがあります。)、ならびに(ii) 適用されるすべての国および地方自治体による法、規則および方針を遵守することに同意します((i) と (ii) を総称して 「健康および安全規則」といいます。)。保有者は、WBCI関係者が、保有者および同行者個人およびその財産に対して、いかなる責任も負わないことに同意するものとします。「同行者」とは、保有者と共にイベントに参加するために、保有者がそのチケットを保有する同行者(同伴の未成年者を除きます。)であって、保有者は、同行者は保有者に対して同行者を代理して本規約の関連条項に同意する権限を付与したことを表明するものとします。

WBCI関係者は、理由の如何を問わず、本チケットに記載された購入代金を保有者に提供することにより、本チケットにより付与された権利を無効にすることができます。また、WBCI関係者は、保有者が次のいずれかに該当する場合、購入金額の全部または一部の払戻しなく、本チケットにより付与された権利の一部または全部を無効にし、保有者および同伴者の本イベントへの入場を拒否し、または本イベントから保有者および同伴者を退場させることができます:(a) 本規約(規則等を含みます。)に違反した場合、(b) WBCI関係者が危険、有害、不適切または他の来場者を傷つける可能性があると判断する物品(以下「禁止物品」といいます。)を所持する場合(この場合、当該禁止物品を没収することがあります。)、(c) 酩酊しまたは外見上酩酊している様子である場合、 (d) WBCI関係者が不適切、不適当または無秩序と判断する行為を行った場合、(e) 粗野なまたは乱暴な言葉を用いた場合、(f) 他人の健康または安全を脅かす場合

本チケットをWBCIまたはその指定代理店以外の者から購入することに伴うリスクは、すべて保有者が負うものとします。本チケットは、WBCIの書面による明示的な同意なく、広告、宣伝(コンテストや懸賞を含みます。)、その他の取引または商業目的に使用することは認められません。本チケットの転売または転売の申出は、適用法令によって禁止され、または規則等の違反となる限りにおいて、認められません。このような転売を行った場合、本チケットによって付与された権利は無効となります。本チケットは、球場およびその周辺や駐車場などの競技会場内(以下総称して「競技会場」といいます。)において、転売または転売の申出をすることはできず、競技会場内において、いかなる価格であれ本チケットを転売目的で販売または販売の申出を行った場合には、敷地内から退出しなければならず、また、訴追される場合もあります。

保有者は、自らのため、および同行者に代わり、本契約に明記されておらず、本チケットの購入時に提示される条件((a)購入可能なチケット枚数を規定する条件、(b)同行者に関する追加条件、(c)チケットの転売または譲渡に関する条件を含みます。)をすべて遵守することに同意するものとします。

ファンの健康に関する約束事項

保有者は、保有者および/または同行者が新型コロナウイルス感染症(COVID-19)またはその他の感染症(本段落末尾に定義します。)に罹患した場合、たとえ症状がなくても、その後接触した他人に感染させる可能性や、常に他人に暴露させる危険性があることを認識し理解するものとします。これを踏まえ、保有者は、

イベント当日に、健康および安全規則により自宅待機、隔離、または隔離(例:COVID-19またはその他の伝染病に感染した者との直接接触、または感染した者の症状の経験、感染した者の検査結果が陽性であった場合など)が義務付けられ、または推奨された場合、保有者および同行者はいずれもイベントに参加しないことに同意する。

本規約において「感染症」とは、新型コロナウイルス感染症(COVID-19)、その変異株または変異種、新型コロナウイルス感染症(COVID-19)を引き起こすコロナウイルス、および/またはその他の空気、エアロゾルまたは接触により伝播する感染性疾患、ウイルス、細菌または疾病もしくはその原因をいいます。

新型コロナウイルス感染症(COVID-19)およびその他の感染症に関するリスクの負担

保有者は、保有者自らのため、および同行者に代わり、競技会場において新型コロナウイルス感染症(COVID-19)またはその他の感染症に感染または暴露することに何らか関連しまたは起因するすべてのリスクを、明示的かつ任意に引き受けます。保有者は、自らのため、および関係者(本段落末尾に定義します。)に代わり、本チケットを使用することにより、保有者および/または同行者が新型コロナウイルス感染症(COVID-19)またはその他の感染症に暴露するリスクを理解し、かかるリスクを、現在および将来に亘って引き受けることを、確認し同意するものとします。保有者は、これらのリスクには、新型コロナウイルス感染症(COVID-19)またはその他の感染症に罹患すること、および新型コロナウイルス感染症(COVID-19)またはその他の感染症に罹患することによって生じる可能性のある危険、合併症、身体的および精神的傷害が含まれることを明示的に了解するものとします。加えて、保有者は、自らのため、および同行者に代わり、人々との交流には、新型コロナウイルス感染症(COVID-19)を含む感染症に暴露し、罹患するリスクが不可避的に伴うこと、保有者および/または同行者がこれに暴露しないことを保証できないこと、したがって、新型コロナウイルス感染症(COVID-19)またはその他の感染症に暴露し、罹患する可能性は、保有者の本チケット使用の決定に内在するリスクであり、そのリスクを排除することはできないことを理解し同意するものとします。 「関係者」とは、同行者、保有者および同行者の代理人、譲受人、相続人、近親者、その他これらの者のために権利を主張する権限を有する個人または団体をいいます。

けが、病気、および財産的損害のリスクの負担

保有者は、本イベントへの保有者および同行者の出席は任意であり、負傷、死亡、病気、財産的損害が発生する可能性があることを認識します。保有者は、すべての規則等に従うこと、保有者および同行者の周囲に注意を払い意識し続けることに同意します。本チケットを使用すること、または本イベントに出席、観覧、参加することにより、保有者は、自らのため、および関係者に代わり、以下に関連するすべてのリスクや危険を確認し、負担するものとします。(a)野球の試合(準備運動、練習、試合前・試合後・イニング間の活動・宣伝・競技を含みます。)の開始前、試合中、試合後 に観客でいること、(b)本イベントに出席、観覧、参加すること。なお、いずれの場合も、そのリスクや危険が、本イベントの開始前・途中・終了後に発生したかどうかにかかわりません。特に(これに限られませんが)、投げられたバット、バットの破片、投球または打球、投げられ、落とされまたは打ち上げられた物、発射物、人、動物、その他の危険や観戦の妨げになるもの、人が密集したことについて生じた事件や事故、他の観客の過失や違法行為により負傷する危険を含みます。保有者は、自らのため、および関係者に代わり、 (x)保有者または同行者の本イベントへの出席や観覧、および/または (y)免責当事者(本段落末尾に定義します。)の単独もしくは共同の過失、比較過失、無過失責任の結果として被った負傷、死亡、病気、財産的損害またはその他の損失(以下総称して「観客による請求」といいます。)につき、免責当事者が責任を負わないことに同意するものとします。「免責当事者」とは、(i)WBCI関係者、(ii)WBCI関係者のそれぞれの過去・現在・将来のライセンシー、スポンサーおよびベンダー、それらのすべての後継者および譲受人、(iii)その他すべてのWorld Baseball Classicの関係者、(iv)競技会場およびその所有者またはその運営者、(v)競技会場に関連するあらゆる政府機関、(vi)チケット販売・提供業者、(vii)これらの者の過去・現在・将来のすべての関連会社、承継人、譲受人、選手、監督、コーチ、従業員、パートナー、メンバー、取締役、役員、オーナー、代理人、代表者および業務委託先をいいます。

一般的な免責および不起訴の誓約

保有者は、自己のため、および関係者に代わり、(A)本チケットの使用、(B)競技会場への入場、(C)本イベントまたは免責当事者が手配、宣伝または主催する関連活動への参加に関しまたは何らか関連して発生し得る、あらゆる種類または性質の法的な請求、責任または要求((i)全部または一部について、免責当事者の単独または共同の過失、比較過失、無過失責任の結果として生じる請求、(ii)会場に来場することに不可避的に伴う危険((a)観客による請求、(b)保有者もしくは関係者または保有者もしくは関係者によって新型コロナウイルス感染症(COVID-19)もしくはその他の感染症に暴露したその他の個人による、負傷、不慮の死亡、新型コロナウイルス感染症(COVID-19)またはその他の感染症への感染または暴露を理由とするすべての請求、(c)保有者または関係者に対するセキュリティの調査または選別、健康および安全規則の適用に関するすべての請求、(d)本イベントにおける保有者または同行者の映像または写真が掲載された広告、プロモーション、コンテンツ、プログラムその他の資料の制作、複製、配布、送信、公開、公演、放送、展示に起因するプライバシーの侵害、名誉毀損、パブリシティー権やプライバシー権の侵害またはその他の請求の原因に対する請求を含みます。)の結果として生じる請求を含みます。以下総称して「免責対象請求」といいます。)について、免責当事者に対して、その権利を放棄し、免責し、損害を与えず、訴訟を提起しないことを誓約するものとします。

本規約で定める請求放棄および免責についての同意および明示的な危険の負担は、拘束力のある完全な請求放棄および責任免除を意図したものであり、新型コロナウイルス感染症(COVID-19)またはその他の感染症への暴露または感染に関連して生じる可能性のある議論、請求または紛争に関するものも含めて、法律で認められる限りにおいて広く包括的に解釈されるものとします。本規約の一部が何らかの理由で無効または法的強制力がないものとされた場合(以下「該当条項」といいます。)であっても、本規約の残りの部分はその影響を受けず、有効かつ完全に強制力を持ち、該当条項も法律で認められる最大限の範囲内で強制力を持つものとします。

本イベントに出席または参加することにより、保有者は、自らのため、および関係者に代わって、法律で認められる最大限の範囲において、免責当事者に対して責任を完全に免除したものとみなされます。

未成年者その他の同行者が保有者とともに本イベントに出席する場合、保有者は、(a)未成年者の親もしくは保護者、または親もしくは保護者の正式な代理人として、その未成年者のために、 (b)その他の同行者の正式な代理人として、その同行者のために、前述のすべての権利の付与、免責および請求放棄を行ったものとみなされます。 (i) 保有者が、未成年者のためにそのような権利の付与、免責および権利放棄をする権限を有しない場合、または、そのような権利の付与、免責および権利放棄を希望しない場合、保有者は、当該未成年者とともにただちに会場から退出しなければなりません。また、(ii)保有者が、同行者のためにそのような権利の付与、免責および権利放棄をする権限がない場合、または、保有者がそのような権利の付与、免責および権利放棄を希望しない場合、当該同行者は、直ちに会場から退出しなければなりません。

保有者は、(i)免責対象請求、(ii)保有者または同伴者の作為または不作為、 (iii)保有者による本規約の条項、条件または表明の違反から生じる、またはそれらに付随もしくは何らか関連する要求、訴訟、請求、費用(合理的な弁護士報酬および費用を含みます。)および責任から、免責当事者を補償し、防御し、損害を与えないものとします。

保有者は、本規約において負担する補償義務および補償責任は、無制限かつその原因を問わないものとし、免責当事者の単独もしくは共同の過失、または競合過失(積極的か消極的かを問いません。)、無過失責任、潜在的な、明白な、または既存の欠陥または状態を含み、かつ、人員の入退場または貨物の積み下ろしに起因するあらゆる請求を含むことに同意するものとします。

試合のための競技場に立ち入ることその他本イベントを妨害すること、またはイベント参加者と身体的な接触を試みることは、懲役および/または罰金の対象となる犯罪です。違反したお客様は、法律の定める最大限の範囲において、訴追される可能性があります。

WBCIが本規約に違反したことにより保有者に損害が発生した場合には、保有者に対する損害賠償額の上限は、法令で認められる限りにおいて、購入申込み、購入または保有に係るチケットの券面額の総額とします。また、WBCI関係者は、保有者に対して、本規約の違反に起因する特別損害や間接損害、結果損害については責任を負いません。本規約に基づくWBCI関係者に対する上記の免責または責任制限は、かかる請求がWBCI関係者の重過失または故意の不法行為に起因する場合は適用されません。

強制仲裁合意および集団訴訟の放棄(以下「本仲裁合意」といいます)。

WBCI関係者は、ファンとの良好な関係を維持することを、とても大切にしています。お客様またはお客様の同行者が本チケットまたは本イベントに関して問題を抱えた場合、カスタマーサービスにお電話いただくことにより、問題を迅速かつ友好的に解決することができます。協議により解決されない紛争は、本仲裁合意に従って解決されなければなりません。

適用法令で禁止されている場合を除き、保有者およびWBCI関係者は、保有者による本チケットの購入もしくは保有者もしくは同行者による本チケットの使用、保有者もしくは同行者による本イベントへの参加、出席もしくは観覧、本規約または両者間の関連取引に関するあらゆる請求および紛争(保有者または同伴者の本イベントへの出席または参加に起因する疾病(新型コロナウイルス感染症(COVID-19)その他の感染症を含みます。)、身体的な負傷、財産的損害に関する請求を含みます。)(以下「仲裁請求」といいます。)を、仲裁により解決することに合意します。ただし、拘束力のある個別仲裁を通じた、仲裁合意の有効性、適用範囲または執行可能性に関する仲裁請求を除くものとします。

仲裁によって解決されるべき仲裁請求においては、保有者およびWBCI関係者は、裁判または陪審裁判を受けることができず、集団訴訟または集団仲裁に参加することができません。保有者およびWBCI関係者が裁判において有するであろうその他の権利は、上訴権を含め、仲裁では利用できず、またはより制限されることになります。保有者およびWBCI関係者は、すべての紛争を個別仲裁によって解決することを互いに要求することによって、それぞれが裁判または陪審裁判を受ける権利を放棄することを理解し同意するものとします。すべての紛争は、個々の仲裁により解決されるものとし、集団訴訟、代表訴訟、集団仲裁その他これらに類似の手続によらないものとします。仲裁人は、複数の当事者の請求を統合することはできないものとします。

仲裁は、WBCI が選定した高い評価を有する仲裁機関によって、競技会場が所在する都市において、上記の仲裁に適用されるルールに従って選ばれた一名を仲裁人として行われるものとします。仲裁人は、裁判所で得られるはずのすべての救済を裁定する権限を有するものとします。ただし、仲裁人の権限は、本規約に特に明記されている場合を除き、保有者およびWBCI関係者のみに対するものに限定されるものとします。いかなる仲裁判断も、当事者以外に対しては、優先的効力を有しません。仲裁人の仲裁判断は、最終的かつ拘束力を有するものとします。両当事者は、本仲裁合意が、仲裁請求に関与するすべての他の当事者(同伴者、関係者および免責当事者を含みます。)にも及ぶことに同意します。本仲裁合意が仲裁機関または仲裁人の規則と矛盾する場合、本仲裁合意が優先するものとします。

本契約の他の規定にかかわらず、保有者およびWBCI関係者は、それぞれ、暫定的な救済措置を求めるために法令に定めれた権利を行使することができますが、これにより仲裁の権利を放棄することにはなりません。本規約の他の規定にかかわらず、前述の集団訴訟の放棄および集団仲裁の禁止が無効または執行不能と判断された場合、本仲裁合意全体が無効となるものとします。集団訴訟の放棄および集団仲裁の禁止以外の本仲裁合意の一部が無効または執行不能と判断された場合でも、本仲裁合意の他の部分は無効とはなりません。本仲裁合意は、本規約の終了、本イベントの終了、または当事者の破産もしくは支払不能後も(適用法令で認められる範囲において)存続するものとします。

お客様は、本仲裁合意を拒否する権利を有しますが、かかる権利は速やかに行使されなければなりません。お客様が本仲裁合意に拘束されることを希望しない場合、お客様は、本イベントの開催日から30日以内に消印のある書面により、オプトアウト通知をWBCIに郵送して通知しなければなりません。ご要望は、「1271 Avenue of the Americas, New York, NY 10020」を住所とする「World Baseball Classic, Inc.」の「Legal Department」を宛先とし、タイトルを「Ticket Claim Notice」とした上で送付してください。ご要望では、お客様の氏名、住所を特定され、「I reject the Arbitration Agreement contained in my Event Ticket.」という文言が含まれていなければなりません。お客様が仲裁を拒否する権利を行使した場合、本規約の他の条項は、お客様が仲裁を拒否しなかった場合と同様に、完全に効力を有するものとします。

本仲裁合意に基づき請求を行う前に、請求者は、相手方当事者に仲裁請求の書面による通知(以下「請求通知」といいます。)を送付し、仲裁請求を解決するための30日を下らない合理的な機会を与えるものとします。WBCI関係者の1つ以上に対するあらゆる請求通知は、「1271 Avenue of the Americas, New York, NY 10020」を住所とする「 World Baseball Classic, Inc.」の「Legal Department」を宛先とし、タイトルを「Ticket Claim Notice」とした上で郵送してください。あらゆる請求通知は、(a)氏名、住所、電子メールアドレス、電話番号によって請求者を特定し、(b)仲裁請求の性質と要求する救済を説明し、(c)請求者のみのために提出するものとし、他のいかなる当事者のためにも提出してはなりません。請求者は、相手方当事者が仲裁請求に関する情報の提供を求めたときはこれに合理的な範囲で協力し、相手方当事者に救済要求に応答する合理的な機会を与えなければなりません。

未成年者その他の同行者が保有者とともに本イベントに出席する場合、保有者は、(a)未成年者の親もしくは保護者、または親もしくは保護者の正式な代理人として、その未成年者のために、(b)その他の同行者の正式な代理人として、その同行者のために、本仲裁合意に同意したものとみなされます。 (i)保有者が当該未成年者のためにそのような合意をする権限を有しない場合、または、保有者がそのような合意を希望しない場合、保有者は、当該未成年者とともにただちに会場から退出しなければなりません。(ii)保有者がその他の同行者のためにそのような合意を付与する権限がない場合、または、保有者がそのような合意を希望しない場合、当該同行者は直ちに会場から退出しなければなりません。

注意事項

すべてのイベントの時間は変更される可能性があります。WBCI関係者は、チケットの紛失、盗難、複製について責任を負いません。

本チケットは、本イベントが終了するまで大切に保管してください。本チケットの紛失、盗難、破損の場合でも、本チケットの交換はできません。本チケットは本イベントのみに有効であり、チケット保有者が本チケットを本イベントに使用できなかったことを理由として購入代金のいかなる部分も返金されることはありません。本イベントが実施または完了されず、WBCIが独自の判断で競技会場において本イベント(またはその一部)の再スケジュールまたは再開(以下「振替イベント」といいます。)を選択した場合、チケット保有者は、WBCIの独自の判断で発表しhttps://www.mlb.com/world-baseball-classic に掲載された振替イベントの実施日時に、本チケットによって振替イベントに参加できるものとします。また、保有者が本チケットを振替イベントに使用できなかったことを理由として、購入代金のいかなる部分も返金されることはありません。

本イベント(またはその一部)が、(a)競技会場でキャンセルされ、再スケジュールされない場合、(b)公認野球規則7.01に基づく有効試合(以下「有効試合」といいます。)を構成する時点まで進行せず、競技会場で再開されない場合、(c)無観客または限られた観客のみで行われた場合は、WBCI関係者は払戻しの実施の有無をその独自の判断により決定し、その決定内容を https://www.mlb.com/world-baseball-classic で公表するものとします。

本イベントが有効試合を構成する時点まで進行した場合、払戻しは行われません。
