TERMS AND CONDITIONS - Giants Wine Club
THESE TERMS ARE AN ENFORCEABLE CONTRACT BETWEEN YOU, Sonoma County Grape Growers Foundation ("Company," "we," "our" or "us"), and San Francisco Giants Baseball Club LLC (the “Giants”), WHICH AFFECTS YOUR LEGAL RIGHTS. YOU, COMPANY AND THE GIANTS AGREE TO RESOLVE DISPUTES BY ARBITRATION ONLY, AND TO GIVE UP ALL RIGHTS TO (A) A JURY TRIAL OR (B) PARTICIPATION IN ANY CLASS ACTION. YOU CAN READ MORE ABOUT THESE REQUIREMENTS BELOW. BY CLICKING THE "I AGREE" BUTTON OR BY USING THE WINE CLUB WEBSITES, INCLUDING, WITHOUT LIMITATION, BY PARTICIPATING IN THE WINE CLUB, YOU HEREBY AGREE TO THE FOLLOWING TERMS & CONDITIONS AND OUR {PRIVACY POLICY}. IF AT ANY TIME YOU DO NOT AGREE TO THESE TERMS & CONDITIONS AND PRIVACY POLICY, PLEASE DO NOT USE THE COMPANY SITES.
MEMBERSHIP. By signing up for a Giants Wine Club (“WINE CLUB”) membership (“Membership”) you are agreeing to these Wine Club Terms, and you certify that you are 21 years of age or older. In no event shall anyone under the age of twenty-one (21) years of age use the Company Sites or Mobile SMS Texting services. The Company hereby notifies you that parental control protections (e.g., computer software, filtering services, etc.) are commercially available and may be used to assist with limiting access to the Company Sites to minors. Please contact us for details. We may refuse to register any person or service any order at any time, at our sole discretion.
Additionally, by signing up for Membership you authorize WINE CLUB to charge your credit card for each WINE CLUB release, including all applicable shipping charges, taxes, and other fees associated with your membership. Your membership is ongoing until you cancel, as noted below, and releases are specially curated by WINE CLUB, and as such, are not customizable. Membership is currently available only to consumers who reside in CA.
SHIPMENTS: Wine Club membership is offered with three shipments per year in September and November in 2025 and February, May, November in 2026. Each shipment will contain six bottles of wine from different Sonoma County wineries, pre-selected by the Wine Club. You will be provided notice of each shipment two (2) weeks prior to shipment.
MEMBERSHIP TIERS AND BENEFITS: The Wine Club offers two tiers of membership:
- (1) Home Run, you will pay no more than $300 per shipment, and
- (2) Grand Slam, you will pay no more than $600 per shipment.
Members of Giants Wine Club may receive additional benefits and offers in addition to the shipments of wine such as discounted flat rate shipping and access to wine club events, including member-only webinars with winemakers and Master Sommelier.
GIFT MEMBERSHIPS. You may purchase a Membership as a gift for someone else. Gift memberships will automatically renew in the same way as regular memberships. All recipients of gift memberships must be at least 21 years of age.
WINE CLUB NOTIFICATIONS. By giving the WINE CLUB your email address, you are authorizing us to send you information related to your wine club membership via email in accordance with our privacy policy, which is available at: https://www.sfgwineclub-socowine.com. You will be notified of upcoming shipments via email notifications sent to the email address on file. It is up to the member to confirm that the billing address and email addresses on file are correct. Please make sure your account has your current email address to receive all notifications of charging, shipment and tracking. You can update your account by logging into your account dashboard or by calling us directly at (707) 687-0330. WINE CLUB may, based on verified information provided by a third-party service provider, update consumer’s credit card information, including expiration date. Unsubscribing to any of our emails will prevent all future emails until we are notified that you wish to re-subscribe.
WEBSITE. WINE CLUB makes every effort to ensure that the information on this website is accurate and current. WINE CLUB, however, provides this website and its contents on an "as is" basis and makes no, and expressly disclaims all, representations and warranties of any kind with respect to this website and its contents. You agree not to do the following while using the WINE CLUB website: a) intentionally or unintentionally violate any applicable law or regulation; or b) access, tamper with, or use nonpublic areas of the WINE CLUB site or WINE CLUB’s computer systems.
WINE CLUB’s website may contain links to other websites or resources. You acknowledge and agree that WINE CLUB is not responsible or liable for (1) the availability or accuracy of such websites or resources, or (2) the content, advertising, or products on or available from such websites or resources. The inclusion of any link on the WINE CLUB website does not imply that WINE CLUB endorses the linked site.
BILLING.
- You agree to provide us with your current, complete, and accurate credit/debit card and contact information at the time of purchase. You agree to promptly update your credit/debit card and other account information as necessary, including your e-mail address, credit/debit card number and expiration date, and mailing address, so that we may complete all transactions, fulfill your Membership, and contact you as necessary. By providing such information, you acknowledge and agree that we may provide such information to third parties for purposes of facilitating and completing transactions relating to your Membership. When you give WINE CLUB your credit or debit card details, you are confirming that you are the card holder or have permission from the card holder to use the card on this website. For your own safety, we reserve the right to contact your card issuer for the purposes of carrying out security checks.
- You authorize us to charge all membership fees and any other outstanding amounts to any credit/debit card that you have on file with us. You understand that failure to pay any fees or charges may result in the suspension and/or cancellation of your Membership. If we do not receive payment from your credit/debit card provider or if your credit/debit card expires or is rejected, you agree to pay all amounts due upon demand. Following any such non-payment, we may require you to provide an additional credit/debit card or other means of payment before allowing you further access to the Benefits, and we may bill you simultaneously for both past due and current fees. We reserve the right to take all steps necessary to collect amounts due from you, including, but not limited to, legal action and/or using third party collection agencies.
- You are solely responsible for any and all fees charged to your credit/debit card by the issuer, bank, or financial institution, including, but not limited to, membership fees, overdraft and insufficient funds fees, and fees associated with exceeding your credit/debit limit. You agree to notify us of any billing problems or discrepancies within thirty (30) days after such problems or discrepancies first appear on your credit/debit card statement or otherwise become known to you. If you do not notify us of any such problems or discrepancies within thirty (30) days, you agree that you waive any right that you may have to dispute such problems or discrepancies.
Automatic Renewal**.**
By purchasing a Membership, you understand, acknowledge, and agree that the Membership will automatically renew for each successive shipment until you cancel the Membership pursuant to the cancellation procedures set forth in these Terms and Conditions. You may cancel your Membership at any time, but Membership fees charged prior to cancellation are prepaid and nonrefundable.
Once you purchase a Membership, we will automatically process your Membership fee one week prior to each wine club shipment. We will continue to automatically process your Membership fee one week prior to each shipment thereafter. By purchasing a Membership, you acknowledge and agree that Membership fees will be charged to your credit/debit card on a recurring basis, without further authorization from you, and you accept full responsibility for all such recurring charges prior to cancellation. We will provide you advance notice of any material change to your Membership, including for example the amount of your Membership fee, before the change takes effect.
SHIPPING. We cannot ship to PO Boxes. An adult signature is required for delivery by an individual at least 21 years of age. As such we recommend shipping to a business address, a FedEx Hold at Location, or a UPS store that you determine. FedEx and UPS will attempt to deliver 3 times; if no one is available to sign, they will return your package to the WINE CLUB. Any order returned to the WINE CLUB due to cancellation, refusal, or unsuccessful delivery, will be subject to a $25 return fee. Neither Winery nor our third-party shipping agency shall be held responsible for lost or misdirected packages, nor shall WINE CLUB be responsible for damages caused by temperature fluctuations during or after shipment. We may hold or delay shipment due to weather conditions. A fee may be charged to your credit card for address corrections while a package is in transit and for re-shipping returned packages. Applicable shipping, handling and applicable sales tax will be added to wine total. Shipments are limited to states where the winery is licensed. No refunds are available, however replacement of flawed wine will be provided with acceptable confirmation of the wine’s status. Wines can only be shipped to California addresses.
CHANGE OF ADDRESS. It is your obligation to notify WINE CLUB of address changes before your wines are shipped. Unreported changes of address, non-delivery and forwarding of packages resulting in additional shipping fees will be charged to you.
CANCELLATION. If you do choose to cancel your Membership, you must take the following action: send an email to us at info@sfgwineclub-socowine.com log into your account, or contact us at (707) 687-0330.
Member benefits begin with the purchase of the current shipment and is on-going. You may cancel your Membership at any time after receiving your first wine club shipment, and you will not be billed for any future Fees if you cancel 15 days prior to the next shipment, cancellation will become effective; (a) immediately if you canceled 15 days prior to the next shipment; or (b) after your next shipment if you canceled less than 15 days prior to the next shipment, and you will retain access to your Membership until that time. We do not allow members to skip shipments or suspend their memberships
We reserve the right to cancel any orders that cannot be fulfilled for any reason. If your order is cancelled, we will contact you to explain why and refund any money you have paid us for that order.
CHANGE IN BENEFITS. WINE CLUB reserves the right to amend the membership benefits, shipment costs and the wine release schedule at any time and reserves the right to terminate your membership at any time with or without cause.
MODIFICATION: The Company reserves the right to modify any of the terms and conditions contained in these Terms & Conditions, at any time, at our sole discretion. We will notify you of any such modifications by posting a notice on the Company Sites promptly following any such modification. Your continued use of the Company Sites or your Account following such notification will be confirmation of your acceptance of such changes, except that the Company will give you prior written notification of material changes to the terms of your Wine Club membership and provide you with an opportunity to cancel your Wine Club membership. The Company Sites are subject to constant change. You will not be eligible for any compensation because you cannot use any part of the Company Sites or because of a failure, suspension or withdrawal of all or part of the Company Sites. WE RESERVE THE RIGHT TO CHANGE THE TERMS OF ANY PRODUCTS, GOODS, OR SERVICES THAT WE OFFER AND/OR YOU PURCHASE. THIS INCLUDES WITHOUT LIMITATION CHANGES TO PRICES, SHIPPING AND HANDLING, DELIVERY TIMES, AND/OR PACKAGE CONTENTS. ALL PRICES, DISCOUNTS, AND PROMOTIONS ARE SUBJECT TO CHANGE WITHOUT NOTICE, HOWEVER, WE MAY NOT CHANGE OUR PRICES MORE THAN ONCE IN ANY PERIOD OF TWELVE (12) CONSECUTIVE MONTHS IN AN AMOUNT GREATER THAN $10.00, UNLESS A CHANGE IS A MATERIAL INCREASE THAT ARISES IN CONNECTION WITH A CHANGE IN ANY INCREASE IN COSTS TO THE SUPPLIER OR SHIPPER. AT OUR DISCRETION, UNLESS REQUIRED BY LAW, WE MAY PROVIDE YOU WITH PRIOR NOTICE OF ANY MATERIAL CHANGES. BY AGREEING TO THESE TERMS AND CONDITIONS, YOU WILL BE DEEMED TO HAVE ACCEPTED THE CHANGES.
Arbitration Clause and Class Action Waiver
YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND COMPANY AND/OR THE GIANTS (WHETHER OR NOT SUCH DISPUTE INVOLVES A THIRD PARTY) WITH REGARD TO YOUR RELATIONSHIP WITH US, INCLUDING WITHOUT LIMITATION DISPUTES RELATED TO THESE TERMS AND CONDITIONS, YOUR USE OF WINE CLUB SITE, YOUR PURCHASE OF WINE CLUB PRODUCTS OR SERVICES, AND/OR RIGHTS OF PRIVACY AND/OR PUBLICITY, WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION UNDER THE AMERICAN ARBITRATION ASSOCIATION'S RULES FOR ARBITRATION OF CONSUMER-RELATED DISPUTES AND YOU AND WE HEREBY EXPRESSLY WAIVE TRIAL BY JURY. DISCOVERY AND RIGHTS TO APPEAL IN ARBITRATION ARE GENERALLY MORE LIMITED THAN IN A LAWSUIT, AND OTHER RIGHTS THAT YOU AND WE WOULD HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION. As an alternative, you may bring your claim in your local "small claims" court, if permitted by that small claims court's rules and if within such court’s jurisdiction, unless such action is transferred, removed or appealed to a different court. You may bring claims only on you
Limitation of Liability
Your membership in the Giants Wine Club use of the Wine Club website is at your own risk and you assume full responsibility for all costs associated with all necessary servicing or repair of any equipment you use in connection with your use of the website. Company and its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the website. In no event shall Company, the Giants and/or their suppliers, partners, affiliates, service providers and their parents, subsidiaries, affiliates and related entities (the “Released Parties”) be liable for any indirect, punitive, incidental, special or consequential damages, or any damages whatsoever, including, without limitation, damages for:
- loss of use, data or profits, arising out of or in any way connected with the Wine Club website;
- the use or performance of the Wine Club website;
- the delay or inability to use the Wine Club website;
- the provision of or failure to provide services;
- any events, information, software, products, services or related graphics obtained through the website; or
- any claim otherwise arising out of the use of the Wine Club website
whether based on contract, tort, negligence, strict liability or otherwise, even if a Released Party has been advised of the possibility of damages. If you are dissatisfied with any portion of the Wine Club website, or with any of these Terms of Service, your sole and exclusive remedy is to discontinue using the Wine Club website. This sole and exclusive remedy is separate and independent of any other provision that limits the Company and the Giants’ liability or your remedies.
Company and the Giants shall be excused from performance under these Terms of Service if Company is prevented, forbidden or delayed from performing, or omits to perform, any act or requirement by reason of: (a) any provision of any present or future law or regulation or order of the United States of America, or any state thereof, (b) any act or omission of a third party, or (c) any act of God, emergency condition, war, computer or telecommunications failure or other circumstance beyond the control of Company or the Giants.
The Terms of Service, along with the Privacy Policy, compromise the entire agreement between you and Company and the Giants. Any attempt by you to assign, transfer or delegate these Terms of Service are personal to you and you may not transfer, assign, or delegate them without approval from the Company. California law and controlling U.S. federal law, without regard to the choice or conflicts of law provisions of any jurisdiction, will govern any action related to these Terms of Service. You agree to submit to the jurisdiction of the courts located in San Francisco or Sonoma County, in the State of California, for the resolution of all disputes arising from or related to these Terms of Service and/or your use of the website.
Indemnification: You agree to indemnify, defend and hold the Released Parties harmless to the fullest extent permitted by law from and against any losses, costs, liabilities, settlements, fines, payments or damages (including reasonable attorneys’ fees and costs) resulting from any claim, suit or proceeding, threatened or otherwise, at law or in equity made or brought against us, and caused by, arising out of, resulting from or attributable to:
(i) your misuse of the Company Sites;
(ii) anything you post to the Company Sites;
(iii) your violation of these Terms & Conditions;
(iv) your violation of the rights of any third parties; and/or
(v) use of the Company Sites by any other person accessing the Company Sites using a computer or Internet access account that you provided to such person.
